Description of the Proposed Action:
The purpose of the Project is to reduce the vitlage of OLd Harbor's reliance on diesel generation

THIS GROUND LEASE ("Lease"), cflcctivc as of March 2l ,2025 (thc "Comme nccmcnt
Date"), is cntcrcd into by and bctwccn Old Harbor Nativc Corporation, as lessor ("Lcssor"), and
the Alutiiq Tribc of Old }larbor, a fcdcrally recognizcd tribc, as Lcsscc ("Lcsscc").
WHEREAS Lcssor is lcasing thc propcrty dcscribcd in Exhibit A (the "Property") from
the Old Harbor Nativc Corporation Scttlcmcnt Trust, which is thc rccord owner of thc Propcrtyl
WHEREAS Lcssor is willing to lcasc thc portions of thc Property idcntified in the maps
contained in Exhibit A to Lessee to enable Lcsscc to construct and operatc a hydroelectric project
providing power to Old Harbor, Alaska, including constructing improvements on the Propcrty that
are necessary for such projcct (thc "Hydroclcctric Projcct");
NOW THEREFORE, in considcration of thcir mutual promiscs Lessor and Lessce do
hereby mutually agrce as follows:
l. LEASED PROPERTY. Lessor hereby lcascs to Lesscc, and Lcssee hereby leases from
Lcssor, the Property.
2. TERM. Thc initial term ("lnitial Temf') of this Lcase shall bc for the life of the
Hydroelectric Projcct, commcncing on March 21,2025, (thc "Commenccment Date"), provided
that this Lcasc will automatically tcrminate ilconstruction on the Hydroclcctric Project does not
start by Deccmbcr 31,202'l .
3. PERMITTED USE. Lcsscc is pcrmittcd to construct the Hydroclcctric Projcct on the
Property and takc such othcr action on thc Propcrty that is ncccssary to complctc and operatc thc
Hydroelectric Projcct. Lcsscc shall comply with and abidc by all fcdcral. statc, local, municipal,
and other govcmmcntal statutcs, ordinances, laws, and regulations affccting the Propcrty, thc
Hydroelectric Projcct, and any activity or condition on or in such Propcrty.
4. RENT
(a) Base Rcnt. Lcsscc agrccs to pay as rcnt lbr thc Propcrty thc sum ofSl pcr year thc (thc
"Rcnt"). Thc Rcnt shall bc paid annually.
(b) Triplc Nct Lcasc. Additional Rcnt This Lcasc is an absolutc nct lcasc. Tcnant shall also
pay as additional rcnt ("Additional Rcnt") to Landlord all anrounts payable by Tenant
undcr this Lcasc, othcr lhan Basc Rcnt, and whclhcr or not cxprcssly dcsignatcd as
Additional Rcnt in this Lcasc, including all cxpcnscs ofcvcry kind and naturc whatsocvcr
rclating to or arising from thc Propcrty, including rcal property taxcs. Tcnant shall pay to
Landlord all Additional Rcnt that is payablc to Landlord pursuant to thc tcrms and
conditions of this Leasc within thirty (30) days aftcr writtcn dcmand therclore from
Landlord, unlcss a dif'lcrcnt timc is spccificd in this Lcasc.
(c) Taxcs. Including in thc Additional Rcnt to bc paid by Lcsscc arc (a) propcrty taxes of
evcry kind and naturc; (b) propcrty asscssmcnts (whcthcr gcncral, spccial, busincss
improvcmcnt district, or othcrwisc); (c) pcrsonal propcrty taxcs; (d) occupancy and rcnt

taxcs; and (c) any and all othcr govemmental lcvics, fccs, rents, asscssmcnts, or taxes
and charges, gcncral and spccial, ordinary and cxtraordinary, foresccn and unforesccn,
of any kind and nalurc whatsocvcr, and any intcrcst or costs with respect thereto, which
at any time during the Term arc, or, if the Property or any part thercof or thc owncr
Ihercof wcrc nol cxcmpt lhcrefrom, would have been assesscd, lcvicd, confirmed,
imposcd upon, or would havc bccomc duc and payablc out ofor in respect of, or would
havc becn chargcd with rcspcct to, the Property. Tcnant shall have the right to contest the
amount or validity, in wholc or in part, of any taxcs imposcd on thc Property by
appropriatc procccdings diligcntly conductcd in good faith.
5. UTILITIES. Lessce shallbc liablc for, and shall pay or causc to be paid before delinquency
thcrcof, throughout thc tcrm of this Lcasc, all chargcs for all utility scrvices fumished to the
Propeny, including, but not limitcd to, clcctricity, water, telcphone servicc, and other public or
private utilitics of evcry kind furnishcd to thc Propcrty.
6. ACCEPTANCE AND POSSESSION OF PROPERTY. Lcsscc has cxamincd thc Property,
shall accept them effcctive as of thc Commcnccmcnt Datc in thcir prcscnt condition and Lesscc
shall make any changcs in thc Propcrty ncccssary to conform to fcderal, statc, and local law
applicablc lo Lcssce's use of the Propcrty.
(a)Conrnrcnccnrent ol' ('onstruction Thc partics acknowlcdgc that Lcsscc willconstruct thc
Hydroelcctric Projcct on thc Propcrty. Lcssor hcrcby agrecs to the construction ofthe
Hydroclectric Projcct.
(b) Lcssor's Cooocration. Lcssor agrccs (o cooperatc with Lesscc's plan for the
Hydroclcctric Projcct by signing any declaration, survcy or plat map or other documents
ncccssary to thc dcvclopmcnt ol thc projcct. as rcqucstcd by Lcsscc.
(c) Permits: Compliancc With Codcs. All building pcrmits and othcr pcrmits, liccnses,
permissions, consents and approvals requircd to be obtained from govcrnmcntal agencics
or third partics in conncction with construction ol thc llydroelectric Project, repairs,
replacements or rcncwals to the Propcrty shall bc acquired as rcquired by applicable laws,
ordinanccs or regulations by Lcssor in collaboration with Lcsscc and at thc sole cost and
expcnse of Lcssce. Lesscc shall cause all work on thc Propcrty during thc Lcasc tcrm to
bc performed in accordance with all applicablc laws and all dircctions and rcgulations of
all govcrnmcntal agcncics and thc rcprcscntativcs ofsuch agencies having jurisdiction.
(d) Owncrship ol Hvdroclcctric Proicct. During thc tcml ol this Lcasc, thc }lydroclcctric
Projcct, including without limitation all additions, altcrations, and I{ydroclcctric Projcct
thercto or rcplaccmcnts thcrcol'and all appurtcnant fixturcs, machincry and cquipmcnt
rnstalled thercin, shall bc thc propcrty of Lcsscc. At thc cxpiration or carlicr tcrmination
of this Lcasc, thc Hydroclcctric Projcct and all additions and altcrations to thc
llydroclcctric Proicct thcrcto or rcplaccmcnts thcrcof and all appurtcnant fixturcs,
machincry and cquipnrcnt installcd thcrcin shall bcconrc thc propcrty oI Lcssor.

7. CONSTRUCTION OF IIYDROELECTRIC PROJECT.
(e) Surrcndcr Upon Tcrmination. Upon expiration or earlicr tcrmination of this Lease,
Lesscc shall rcmovc Lcssce's personal propcrty and equipment not installed in the
Hydroclectric Projcct and shall surrendcr thc Propcrty and Hydroelecric Project to
Lcssor. Lcssee's pcrsonal propcrty and cquipmcnt not removcd by Lessee at expiration
or earlicr tcrmination of this Lease or within a reasonable timc thercafter shall be
considcrcd abandoncd and Lcssor may disposc of such propcrty in accordance with thc
law governing abandoned propcrty in cffect al the time ofabandonmcnt.
8. MAINTENANCE AND REPAIR. Lcssec shall, al its own cxpense, at all times kecp thc
Property and thc Hydroclcctric Project in a clcan, safc, and sanitary condition. Lcssee shall also
maintain and kcep thc Propcrty and thc Hydroclectric Project in a good state ofrepair, and Lessce
shall commit no waste of any kind.
9. DAMAGE TO AND DESTRUCTION OF HYDROELECTRIC PROJECT. Tbc damage,

repair or demolish and replacc any damagcd Hydroclcctric Project, subject to such rcpair or
reconstruction work being done in compliance with all thcn-applicable laws, rcgulations and
permit requircmcnts.
IO. INSURANCE:INDEMNITY.
(a) Liability Insurancc. Lcsscc shall maintain in lorcc during thc tcrm of this Lease a policy
of comprchcnsivc public liability insurancc issucd by a company rcasonably acceptablc
to Lcssor and insuring Lcsscc and Lcssor against liabilitics normally covered by a policy
ofcomprchcnsivc public liability insurancc, including, without limitation, damage to the
Propcrty and othcr portions of Lessor's Properly arrsing out of thc use, occupancy, or
maintcnancc of thc Propcrty and all appurtcnant arcas. Such insurance shall be in an
amount of not lcss than Onc Million Dollars ($ I ,000,000.00) pcr occurcncc. Thc limits
olsaid insurancc shall not, howcvcr, limit thc liability ofLcsscc. Such policics shall name
Lessor and Lessor's agcnts as additional insurcds and shall providc that thcy may not bc
cancclcd without thirty (30) days prior writtcn noticc to Lcssor. Lcssor shall bc furnished
with a ccrtificatc cvidcncing issuancc of such policy of liability insurance, and such
ccrtificatc shall rccitc that said policy may not bc canceled without thirty (30) days prior
writtcn noticc to Lcssor. If Lcsscc shall lhil to maintain said insurancc, Lessor may, but
shall not bc rcquircd to, procurc, and maintain thc samc, at thc cxpcnsc of Lcssce.
(b) Waivcr of Subroqation. To thc cxtcnt a |oss is covcrcd by insurancc, the pafties releasc
cach othcr and thcir rcspcctivc authorizcd rcprcscntatives, from any claims for damage
to any pcrson or to the Propcrty and thc Hydroclcctric Project and to thc fixtures and
pcrsonal properly of cithcr Lcssor or Lcsscc in or on the Propcrty that are causcd by or
rcsult from risks insurcd against undcr any insurance policics carricd by the parties and
in forcc at thc timc ofany such damagc.
(c) Hold Harmlcss. Lcsscc shall indcmnify, dcfcnd, and hold Lcssor harmlcss from and
against any and all claims arising from Lcsscc's usc of thc Propcrty or from the conduct
of its busincss or lrom any activity, work. or thing which may bc pcrmitted or suffered

by Lcssec in or about thc Propcrty, and shall lurthcr indcmnify, defcnd, and hold Lessor
harmlcss fronr and against any and all claims arising from any breach or dcfault in the

this Lcasc or arising from any negligcncc of Lcsscc or any of its agcnts, contractors,
cmployccs, or invitccs and liom any and all rcasonable costs, attorneys'fees, expenses,
and liabilitres incurrcd in thc dcfcnsc of any such claim or any action or proceeding
brought thcreon. Providcd that thc insurancc Lcssce is rcquircd to maintain by this Lcase
is in placc at the lcvcls rcquircd by this Lcasc and lhat Lessor and Lessor's agents are
namcd as additional insurcds, Lcsscc shall not be rcquircd to indemnify, dcfend, or hold
harmlcss Lcssor for liabrlity imposcd upon Lcssor in cxccss of thc insurcd amount as a
result of thc ncgligcncc or grcatcr lcvcl of fault of Lcssor, or its agcnts. contractors.

I l. LIENS AND INSOLVENCY. Lcsscc shall kccp thc Propcrty and thc Facility frcc from any
licns arising out of any work pcrformcd, matcrials ordcrcd, or obligations incurred by Lcssee. If
Lcsscc bccomcs insolvcnt or volunlarily or involuntarily bankrupt, or if a rcceiver, assignee or
othcr liquidating officcr is appointcd for thc business of Lessce and ifthc rcccivcrship, assignment
or other liquidating action is not tcrminatcd within sixty (60) days ofany such appointmcnt, thcn
Lessor may cxcrcisc any of the rcmcdics availablc to it upon dcfault, at Lcssor's option. Lessee
shall havc no authority, cxprcss or implicd, to crcatc or place any lien or cncumbrancc ofany kind
or naturc whatsocvcr upon, or in any manncr to bind, any intcrcst of Lessor in the Property or to
chargc thc rcntals payablc hcrcundcr for any claim in favor of any person dealing with Lessee,
including those who may f'urnish matcrials or pcrform labor for any construction or rcpairs, and
each such claim shall aflcct and cach such licn shall attach to, if at all, only thc lcaschold interest
granted to Lcsscc by this instrumcnt.
12. DEFAULTS. Thc occurrencc ofany onc or morc ofthc following cvcnts shall constitute a
dcfault and brcach of this Lcasc by Lcsscc:
(a) Failurc to Pav Rcnt. Thc lailurc by Lcsscc to pay rent or any other paymcnt required by
this Lcasc as and whcn duc shall immcdiatcly constitutc a dcfault unlcss full payment is
madc within scvcn (7)days aftcr writtcn noticc by Lcssor.
(b) Failurc to Pcrform. Thc failurq by Lcsscc to obscrvc or pcrlorm any ofthe covenants,
conditions, or provisions of this Lcase to be observed or performcd by Lessee where such
failure shall continuc for a pcriod olsixty (60) days aftcr written notice thereofby Lcssor
to Lesscci providcd, howcvcr, that if thc naturc of Lcsscc's dcfault is such that more than
(d) Excmption of Lcssor from Liability. Lcssor shall not bc liablc for injury to Lessee's
busincss or any loss of income thcrcfrom or for damage to the goods, equipment,
merchandise, or othcr property of Lcssec, Lcsscc's employccs, invitccs, or customers or

Lessor be Iiable for personal injury to Lcsscc or Lesscc's employccs, agents, contraclors,

(c) Bankruotcv. The making by Lessce ofany gencral assignment for the benefit ofcreditors,
thc filing by or against Lessee of a pctition to havc Lcsscc adjudged a bankrupt or of a
pctition for rcorganization or arrangcmcnt undcr any law rclating to bankruptcy, the
appointment of a trustee or receiver to take posscssion or the attachmcnt, execution or
othcrjudicial scizure that is not discharged within sixty (60) days.
ll. LESSOR'S REMEDIES. ln the event of any dclault by Lcsscc, Lcssor shall havc thc right
to tcrminatc this Lease, in addition to any rights and rcmcdics that Lcssor may bc rcceivcd by
statutc, conrmon law, or othcrwisc.
14. NON-WAIVER. Waiver by Lessor of any brcach of any term, covenant, or condition in the
Lcasc shall not bc deemed to be a waiver ofsuch term, covcnant, or condition or ofany subscqucnl
brcach of thc samc or any other term, covenant, or condition. The subsequent acceptancc of rent
by Lessor shall not be deemed to be a waivcr of any prcccding brcach by Lcssee of any tcrm,
covcnant, or condition of this Lease, other than thc failurc of Lcssec to pay thc particular renlal so
accepted, regardless of Lessor's knowledge of such prcceding brcach at ihe time of acccptancc of
such rent.
15. SURRENDER OF POSSESSION. Upon cxpiration of thc tcrm of this Lease, whether by
lapse of timc or otherwise, Lessee shall promptly and pcaccfully surrcndcr thc Property to Lessor.
16. ASSIGNMENTS AND SUBLETTING. Exccpt as sct fbrth bclow, Lcsscc shall not assign
this Lcasc nor sublcl thc wholc or any part of thc Propcrty to any pcrson or entity without writtcn
approval ol Lessor, whrch shall not bc unrcasonably withhcld, conditioncd or delayed. As uscd
hcrein thc tcrm "assignmcnt" shall not includc translcrs to a subsidiary or affiliated cntity which
is wholly owncd by Lcsscc, transfcrs of lcss than a matcrial intcrcst by or between individual
mcmbers or by a mcmbcr that is not a matcrial participant, and any assignment in connection with
any mcrgcr or consolidation in which Lcsscc is thc surviving cntity. Any assignment,
cncumbrance, or sublcasc contrary to thc tcrms ofthis Lcasc without Lcssor's prior writtcn conscnt
shall bc voidablc and. at Lessor's option, shall constitutc a dcfault undcr this Lcasc. Lcsscc agrccs
that Lessor nray condition its consent to any assignnrcnt or sublcasc on, among other conditions,
Lcssce's continucd liability undcr this Lcasc. Notwithstanding thc forcgoing, without lrssor's
writtcn approval, Lcsscc may sublet ponions of thc Propcrty to its custonrers to install or store
lclecommunications cquipmcnt compatible with Lcsscc's usc of thc Propcrty.
17. NOTICES. All notices under this Lcasc shall bc in writing and dclivered in pcrson or scnt
by rcgistcred or ccrtified mail, retum rcccipl rcqucstcd, to the partics at thc following addresscs

prcvailing party.
19. SUCCESSORS. All of thc covcnants, agrccmcnts, tcrms, and conditions containcd in this
Lease shall apply to and be binding upon Lcssor and Lessce and their respcctive heirs, executors,
administrators, succcssors, and assigns, cxccpt as exprcssly limitcd by thc tcrms of this Lease.
20. ENTIRE AGREEMENT. This Lcasc sets forth thc cntirc understanding and agreement of
Lessor and Lessec with respect to the Propcrty and thc Leasc thercof, and all prior understandings
or agrcements arc mcrgcd herein. This Lcasc may bc amcndcd or modificd only in writing signcd
by both parties.
21. RECORDING. Lcsscc shall not record this Lcasc without thc prior writlen consent of
Lessor. Howcvcr, upon request ofeither party, both partics shall cxccutc a memorandum or "short
form" of this Lcasc for thc purposes of recordation in a lorm cuslomarily uscd for such purposcs.
Said mcmorandum or short form of this Leasc shall dcscribc the partics, thc Property, and thc
Lcasc tcmr, and shall incorporate this Lcase by rcfcrcncc.
22. APPLICABLE LAW AND FORUM SELECTION. This Lcasc shall be govcmcd by and
construcd and cnlorccd in accordancc with thc laws of the Statc of Alaska without reference to its
choicc oI law principlcs. Should any lcgal procccding bc ncccssary undcr this Lease, the samc
shall bc comnrcnccd in thc appropriate trial court for thc Statc of Alaska, Third Judicial District at
Anchoragc, Alaska. Lcsscc agrecs spccifically that vcnuc and jurisdiction in that court arc propcr.
and lurthcr agrccs to submit itsclf to the jurisdiction of that court. Lcsscc shall not claim that said
lorum is an inconvcnicnt form.
23. MISCELLANEOUS
(a) No Partncrshio. Nothing contained hcrcin or in any instrument relating hereto shall be
construed as creating a partnership or joint vcnturc between Lessor and Lessee or
bctwccn Lessor and any othcr party, or causc Lcssor to bc rcsponsible in any way for
debts or obligation of Lessee or any othcr party.
(b) Captions. Thc captions in this Lcasc arc for convcnicncc only and do not in any way
limit or amplify the provisions of this Lcasc.

overatt. The Project wou[d atso provide other long-term socio-economic benefits to vi[[age
househotds, such as construction jobs and long-term operations and management positions.
The Pro.ject includes construction of a 262-kW run-of-river hydroetectric turbine and
generation system, inctuded in the design package is the option to upgrade the Project's power
generation to 525-kW by expanding the powerhouse buitding and instat[ing a second turbine
in the future if etectrical demands increase necessitating a facitity upgrade. The drainage area
for the Project is approximately 4.6 square mites. Water witl be diverted from the East Fork of
Mountain Creek into a penstock for the purpose of generating etectricity. The Project consists
of two phases, Phase 1 that includes construction of a 262-kW powerhouse, diversion and
intake structure, penstock, taiLrace, and constructed channel and Phase 2 that includes
expansion of the Phase 1 powerhouse to house a second 262-kW turbine. Phase 1 and Phase
2 portions of the Pro.ject inctude the fottowing major components:
A diversion and intake and diversion structure spanning approximatety 20 feet across
the East Fork of Mountain Creek that includes a concrete fixed crest weir and stoptog
structure overftow spittway. The diversion also inctudes a rock embankment section to
reduce the East Fork of Mountain Creek overatt width. The diversion and intake structure
inctudes a trash rack, [eve[ sensors, stuice gate, and a penstock intet gate.
A betow grade penstock with sections of steel pipe above grade witt be instalted. The
total length of penstock is approximatety 10,140 feet long and witl consist of high-
definition polyethylene {HDPE) pipe with an approximate inner diameter (lD) of
17.5 inches and steel pipe material with an approximate lD of 14 inches.
A Phase 1 powerhouse that is approximatety 20 feet by 35 feet in ptan and ranges in
height from 13 to 15 feet. The powerhouse witt be a prefabricated metal structure with
a cast-in-ptace concrete foundation and contain a single 262-kW unit with a design that
inctudes a buitding expansion for a second 262-kW unit. The building expansion and
second unit are not included in the Phase 1 construction; however, the design drawings
inctude the design for the Phase 2 expansion.
At the new powerhouse, two 480-V generator switchgears, two turbine-vendor-
provided controI pane[s for unit controI and protection, one controI cabinet with
programmabte logic controller and communication equipment, one PC-based human-
machine interface at an operator desk, one 48-VDC station battery and charger system,
and low vottage distribution for various station service equipment.
At the new substatlon, two banks of three (p[us one spare) single-phase transformers to
step up the generation to voltage to 12.47-ki[ovott (kV] and two 15-kV breakers.

At the water treatment pumphouse, a recloser and revenue meter for isotation,
protection, and power monitoring of both the hydro plant and the diesel generating
ptant on the fiber network.
At the dieset generating ptant, AVEC witL design upgrades to convert their existing
generators, controI system, and boiLer heater system to accommodate interconnection
and load sharing with the new hydro ptant over the existing and proposed transmission
tines.
A taitrace pipe which extends from the powerhouse to the Swimming Pond and consists
of a 24-inch diameter HPDE pipe with fish barrier system to prevent fish from swimming
up the taitrace and into the turbine.
A newly constructed channel to connect the Swimming Pond to Lagoon Creek Tributary
that is intended to encourage fish passage.
An approximatety 1.S-mite tong 12.47-kV overhead distribution line between the
powerhouse and the existing water treatment pumphouse (where the cLosest existing
pole to the Pro.ject is located) to be interconnected with AVEC's existing transmission
tine system. This witt require new potes to be instatted atong the route.
Power and fiber optic communication cabLe witl be routed between the powerhouse and
diversion and intake structure, to provide power to the turbine isolation gate and
monitoring of the water surface etevation at the diversion and intake facitity. Power witl
be provided onty to operate the diversion and intake gate and electronic sensors. Power
witl be stepped up to 7.2-kV, singte-phase with a transformer at the substation and
stepped down at the intake to 240-V with another transformer.
Fiber optic communication cabte witl also be instal[ed bewveen the powerhouse and
diesel generating ptant, to attow for remote contro[, and monitoring ofthe powerhouse
from the utiLity controI center.
Use and Size of Structures:
Specific grading and design drawings were extracted from the 100o/o Design Package for each
project facility outtined betow for reference (Appendices B through F). Ptease refer to the
design drawings for sizing information, inctuding heights.

. Construction Access
A diversion and intake structure spanning approximately 20 feet across the East Fork of
Mountain Creek that inctudes a concrete fixed crest weir and stoptog structure overflow
spittway witt be constructed. The diversion atso inctudes a rock embankment section. The
diversion and intake structure inctudes a trash rack, [eve[ sensors, stuice gate, and a penstock
intet gate. The top of the intake structure wi[[ be at an elevation of 850.00 ft (NAVD88). The
grading ptan and design drawings are inctuded in Appendix B.
B. Penstock (Appendix C)
The penstock witl extend from the diversion and intake structure to the powerhouse and witl
be approximately 10,140 feet long. The penstock witl be buried, partiatl,y buried, and exposed
along the atignment. The penstock inside diameter witL be 13.25 to 17.25 inches. The top
elevation of the above-ground portion of the penstock witl vary along its lengths, ptease see
Appendix D. The grading ptan and design drawings are inctuded in Appendix C.
C. Powerhouse (Appendix D)
The powerhouse wi[[ be approximatety 30 feet by 40 feet in plan and ranges in height from
13 to 15 feet. The powerhouse wi[L be a prefabricated metaL structure with a cast-in-ptace
concrete foundation and contain a single 262-kW unit with a design that inctudes a buitding
expansion for a second 262-kW unit. The finished floor etevation ofthe powerhouse has been
set at an elevation of 76.0 feet (NAVD88), determined by the average etevation of the existing
natural ground to reduce earthwork requirements. The grading plan and design drawings are
inctuded in Appendix D.
D. Taitrace Pipe (Appendix E)
The taiLrace pipe witl extend from the powerhouse to the Swimming Pond and wilL consist of a
24-inch diameter HPDE pipe with a fish barrier system to prevent fish from swimming up the
taitrace and into the turbine. The tailrace pipe is prlmarity buried to protect the pipe and a[[ow
suitabte hydraulics in the pipe. The grading plan and design drawings are included in Appendix
E,

The constructed channel is intended to carry taitrace ftows from the Swimming Pond to
Lagoon Creek Tributary, and to provide fish habitat and passage within this reach. The main
ftow channel is a trapezoidal channel with a 1-foot wide base and side stopes of 2 horizontal
to 1 vertical for 1-foot 3-inches in depth. The low flow channet witt be tined with in-situ soit.
There are riparian banks on both sides of the main ftow channel that are flat and 2-feet wide.
The riparian area outside of the banks witl stope at 2 horizontaL to 1 verticat for l-foot 6-inches
in depth. Side channel pools are excavated on both sides of the constructed channel atignment
creating a total of 6 pools. The etevation of the constructed channel wi[L vary atong its Lengths.
The grading ptan and design drawings are included in Appendix F.
F. Temporary Construction Access
There is an existing access Transmission Access Road, which is presented in the Site P[an in
Appendix A. No additional permanent construction access roads are being constructed as part
of this project. To construct the above-grade penstock between the proposed diversion and
intake structure locations and the powerhouse locations, temporary construction access witl be
built to transport equipment and materials. The atignment of this road wi[[ follow the
penstock, which is presented as on the Site Ptan in Appendix A.

Grantee is developing, constructing, operating, malntaining, repairing, replacing, and managing the OldHarbor Hydroelectric Project and relatod utility facilities ior the benefit ofthe old Haruor coimunity.c' Grantor desires to grant Grantee a public utility easement across, over, under, and upon the property for thepurposes descnbed in this Deed of Easement.
GRANT OF EASEMENT
Now' THEREFoRE, for good and valuable consideration, the receipt and sufficiency of which are herebyacknowlcdged Grantor hereby grants, conveys, and warrants unto Granree, its successors and assigns, aperpetual, non-exclusive public utirity easement (the "Easement,') across, over, under, through, and upon theportion ofthe Property described and depicted in Exhlbit A and Exhibit B, ifatached. The Easement area islabeled as Parcel oLH-26-pr and consists ofapproximately I46,r92 square feet, or approximately 3.36 acres,more or less.
The Easement is granted for the purpose ofpermitting Grantee to survey, design, construct, install, reconstruct,operate, inspcct, maintain, repair, replace, upgrade, remove, and manage utility and hy&oelectric projectimprovemcnts and aPpurtenances related to the old Harbor Hydroelectric projecl including without limitationelectric transmission and distribution lines, poles, an"ho"s, guys, conduits, duct banks, cables, fiber orcommunications lines related to Project operations, water conveyancc facilities, pipelines, penstock, intake ordiversion improvemenrs, access improvements, drainage facilities, .igrug", gutes, -onit#ng equiprnent, anaother facilities reasonably necessary or incidental to the project.

l. LEGAL DESCRTPTToN; EXHIBTTS
The Easement is rocated on Grsntor's property within sections r 7 & 20, Township 34 South, Rsnge 25 west,Seward Meridian, Alaska. The Easement is more specifically described in Exhibit A and, ifapplicable, shownon the easement plat or sketch attached as Exhibir B. In the event ofany inconsistency between a map orsketch and the metes-and-bounds or other written legal description, the written legal description shall controlunless the parties execute and record a wtitten corection.
2. RIGHTS GRANTED
I The right ofreasonable ingress and egress over and across the Easement area for pcrsonnet, vehicles,machinery, equipment, and materiars necessary or useful for the Easement purposes.2' The right to clear, trim, cul or remove brush, trees, vegetation, obstructions, ard other encmachmetrtswithin the Easement area as reasonably necessary for construction, safe operation, maintenance, r€paa,and protection of the project facilities.3 The right to excavate, trench, backfilt, grade, stabilize, and restore the Easement area as reasonably
. necessary for instalration, operation, maintenanc€, repair, repracemenr, or removal ofproject facilities.4 The right to make future replacements, upgrades, relocationi within the Easement area, anJ lmprorementsof the facilities, provided that such activities remain within the scope and purpose ofthis Easement.
3. GRANTOR RESERVATIONS
Grantor reserves the right to use the Property and rhe Easement area for all purposes that do not uffe€sonablyinterfere with Grantee's righs under this Easement or the safe and reriable constmction, operation,maintenance, repair, replacemenl or removal ofthe project facilities. Grantor shall not place or permit anybuilding, permanent structure, excavation, fill, obstruction, utility, or other improvement within the Easementarea that wourd interfere with Grantee's righrs without Grantee's prior wrinen consent.
4. CONSTRUCTION, MAINTENANCE, AND RESTORATION
Grantee shalr construct, operate, maintain, repair, rcplace, and remove the project facirities in a good andworkmanlike manner and in compliance with applicable law. Following construction, maintenance, repair,replacement, or removal activities, Grantee shall reasonably restore disturbed portions ofth" p.op"rty,

5. INDEMNITY

Nothing in this Easement shall beconstrued as a waiver of any immunity, limitation of liabirity, or defense ava abre to either party underapplicable law.

6. TERM; TERMINATT0N FoR NoN_USE
This Easement is perpetual so long as the Easement is actually used for the purposes specified hcrein. Grantormay terminate the Easement' in whore or in part, only ifnon-use of the Easement for tt. ,p".ifi.a furpor"exists for a cons€cutive two-year period and after Grantor provides Grantee written notice and a reasonableopportunity to cure or demonstrate continuing use, project necessity, or reserved future project use. Anytermination shall bc effective only upon execution and recording ofan instrument of termination in theapplicable recording district.
7. ASSIGNMENT
This Easement shall benefit Grantee and its successors and assigns. Grantee may assign, transfer, or otherwiseconvey its righ6 under this Easement to a govemmental entiry,;ibal entity, utility, projecl operator, financingparty, or other entity responsible for owning, op€rating, maintarning, financing, or managingthe ord HarborHydroelectric Prqiect, provided that the assignee assumes the obligations of Grantee under this Easement.
8. RI,JNS WITH THE LAND
This Easement and all rights, duties, benefits, and burdens created herein shall mn with the laud and shall bebinding upon and inure to the benefit of crantor, Grantee. and their respcctive successors and assigns.
9. NO MERGER; SEVERABILITY
No unity oftitle or interest shall exti:rguish this Eascment unless the parties execute and record an instrumentexpressly terminating it. Ifany provision ofthis Easement is held invalid or unenforceable, the remainingprovisions shall remain in effect to the maximum extenl permitted by law.

Any notice required under this Easement shall be in writing and delivered personally, by certified mail, or byanother trackable delivery method to the addresses stated above, or to such other address as eitrer party maydesignate by written noticc.
