acting by and through its Borough Manager, and

This Agreement ("Agreement") is made between the Kodiak Island Borough ("Borough") and Swift
Courier Services, located at 1550 Larimer St. Ste 963, Denver, CO 80202, ("Contractor").
1. Scope of Services
The Contractor shall provide courier services as quoted to the Borough for the delivery of laboratory
samples, including:
Pickup from: Alaska Cargo (Dash), 7640 Undergrove St, Denver, CO 80249
• Delivery to: Eurofins Environment Testing, 4955 Yarrow St, Arvada, CO 80002
• Priority delivery service with driver arrival within 30 minutes after cargo is available, and direct
delivery to the drop-off location (estimated 35-60 minutes drive time).
2. Compensation: The Borough agrees to pay the Contractor a rate of. $145.90 per delivery. This rate is
all-inclusive and covers priority service and any anticipated waiting time. This contract shall not exceed
$3,000.
3. Term: This Agreement becomes effective on the date signed by the Borough Manager and shall remain
in effect until services are completed on June 30, 2026, or terminated under Section 7.
4. Contractor Responsibilities
The Contractor agrees to:
• Perform services in a professional and timely manner.
• Provide email notifications for pickup and delivery.
• Ensure all services meet Borough expectations and applicable laws.
5. Independent Contractor: The Contractor is an independent contractor, not an employee or agent of the
Borough.
6. Payment Terms: Invoices shall be submitted to the Borough, and payments shall be made in accordance
with standard Borough procedures and availability of lawfully appropriated funds.
7. Termination: Either party may terminate this Agreement with written notice within thirty (30) days.
The Borough shall only be responsible for services performed up to the termination date.

8. Entire Agreement: This document constitutes the complete agreement between both parties and
supersedes any prior written or verbal agreements. This agreement also includes following the general
conditions outlined by the Borough at this link: General -Conditions -Contract -version -9122025

Hello Patricia, below you will see the quote for the services we discussed:
Pick up location:
Alaska Cargo (Dash)

Delivery Location:
Eurofins Environment Testing, Denver
4955 Yarrow St, Arvada CO 80002
Delivery Rate $145.90 per delivery (Priority Service - ASAP)
Rate includes everything: Wait time / coolers weight, pick and Delivery
under the Priority Service.
Please keep in mind most time there is waiting time at the Alaska cargo to
have the coolers tendered to our drive. Normally after the plane arrives
there is a 1hour window for the product to be available at the cargo area.
We will have the driver within 30min after the product is available for pick
up, once our driver has it on board he will go straight to the drop off
location, drive time depends on traffic and weather conditions (36miles
distance) - Driver time could be between 35min to 1 hour.
The account can be set up for your company to receive an email
notifications for pickup and delivery.
