KODIAK ISLAND BOROUGH Assembly Regular Meeting November 6, 2025 A regular meeting of the Kodiak Island Borough Assembly was held on November 6, 2025, in the Assembly Chambers. The meeting was called to order at 6:30 p.m. Staff present were Borough Manager Aimee Williams, Community Development Director Christ French, Borough Clerk Nova M. Javier, and Assistant Clerk Irene Arellano. 1. INVOCATION Captain David Shatto of the Salvation Army gave the invocation. 2. PLEDGE OF ALLEGIANCE Mayor Griffin led the pledge of allegiance. 3. AWARDS AND PRESENTATIONS A. Proclamation Supporting Operation Green Light For Veterans Mayor Griffin proclaimed November 4 to 11, 2025 supporting Operation Green Light for Veterans and presented the proclamation to Veteran Aimee Williams. He encouraged the residents, businesses, and community organizations to participate in the Operation Green Light by changing one light to a green bulb from November 4 - 11, 2025, to let the veterans know that they are seen, appreciated, and supported. 9. Ordinance No. FY2026-11, Amending Various Sections Of Kodiak Island Borough Code Title 17 Zoning, Related To Child Care Facilities WHITESIDE moved to adopt Ordinance No. FY2026-11. BOROUGH MANAGER'S REPORT Borough Manager Aimee Williams provided a manager's report, and it was included in the meeting packet. 12. MESSAGES FROM THE BOROUGH MAYOR Mayor Griffin reported on a recent meeting with the U.S. Arctic Research Commission and a brief meeting with Dan Menth, CEO of Kodiak Electric Association. He also shared that he would accompany the Special Olympics team to the State tournament in Anchorage and extended his best wishes to the team. 13. CONSIDERATION OF CALENDAR - UNFINISHED BUSINESS 14. ASSEMBLY MEMBERS' COMMENTS Assembly Member Gardner thanked everyone for attending and expressed appreciation for the Assembly's efficiency in completing its work. Assembly Member Johnson thanked the Salvation Army, Kodiak Area Native Association, Baptist Mission, Kodiak Middle School Food Bank, and the many other organizations that stepped up to support the community during the past week of uncertainty and fear. He noted that several Assembly Members had donated their stipends to worthy causes and shared that he will also be donating his stipend. He offered a tip, suggesting that ordering food donations from Costco for delivery can be a cost-effective way to stretch contributions. Assembly Member Smiley had no comments. Assembly Member Whiteside invited fellow Assembly Members who wish to co- sponsor a proposed agenda item to amend Kodiak Island Borough Code 3.55.025(A) and (B), allowing revenue from short-term rentals to be used for infrastructure development, noting the impact of short-term rentals on housing availability. He also emphasized the importance of professional conduct and encouraged Assembly Members to communicate respectfully while welcoming community engagement. Assembly Member Roberts thanked Project Manager Codi Allen and Interim Senior Facilities Manager Tyler Steele from Providence Hospital for the information shared during the work session regarding Providence projects. She emphasized that being thorough and deliberate in those decisions is essential to ensure compliance with the lease agreement and to use Borough funds responsibly. She also thanked both law firms for their professional and well - prepared proposals and expressed gratitude to her fellow Assembly Members and staff for helping her get oriented over the past few weeks and for their collaboration as she continues learning. 17. EXECUTIVE SESSION A. Evaluation Of The Legal Counsel Candidates WHITESIDE moved to convene into executive session to discuss the evaluation/scores of the legal counsel applicants, a matter which might include a discussion that could potentially prejudice the reputation and character of the applicants. ROLL CALL VOTE ON THE MOTION CARRIED UNANIMOUSLY: Gardner, Johnson, Roberts, Smiley, and Whiteside. WHITESIDE moved to invite the Borough Mayor, Assembly, Borough Manager, and the Clerk into executive session. VOICE VOTE ON THE MOTION CARRIED UNANIMOUSLY. DISCUSSION: The Architectural Engineering Review Board (ARB) meetings are regularly attended by the Borough's Engineering and Facilities Director (when the position is filled) and the Project Manager. To ensure consistent participation and enhance the effectiveness of project discussions, it is recommended that these positions be formally designated as ex officio members of the Board. FY2026-12 AN ORDINANCE OF THE ASSEMBLY OF THE KODIAK ISLAND BOROUGH AMENDING TITLE 2 ADMINISTRATION AND PERSONNEL, CHAPTER 2.125 ARCHITECTURAL/ENGINEERING REVIEW BOARD, SECTION 2.125.030 QUALIFICATIONS WHEREAS, the Architectural/Engineering Review Board (ARB) was established by resolution of the Kodiak Island Borough Assembly in 1980 and revised in 1986 and 1995; and WHEREAS, the ARB was created to review all architectural and engineering proposals for borough owned buildings and utilities; and WHEREAS, the need for review for projects still exists; and WHEREAS, the Assembly finds there is a need and value to add the Borough Project Manager to the Board Ex Officio member list. The Borough Project Manager is intimately aware of project procedures and management; and WHEREAS, the Assembly finds there is a need and value to add the Borough Engineering and Facilities Director to the Board Ex Officio member list. The Borough Engineering and Facilities Director is intimately aware of projects operations and the departmental budgets. NOW, THEREFORE, BE IT ORDAINED BY THE ASSEMBLY OF THE KODIAK ISLAND BOROUGH that: Section 1: This ordinance is of a general and permanent nature and shall become a part of the Kodiak Island Borough Code of Ordinances. Section 2: That Section 2.125.030 Qualifications of the Kodiak Island Borough Code of Ordinances is amended to read as follows: Seven members of the board shall be residents and qualified voters of the borough and shall have an interest and a wide range of experience in engineering, architecture, building, plumbing, roofing, electrical installation, and other related fields involving the building business. Scott Brandt-Erichsen has reviewed the Professional Services Agreement that the Assembly will be reviewing tonight for Landye, Bennett and Blumstein, LLP. Additionally, Scott Brandt-Erichsen has agreed to continue to represent KIB as the attorney of record on the current litigation that he is covering now. Kodiak College Both city and borough mayors and managers attended a lunch at Kodiak College on Tuesday to meet with University of Alaska Interim Chancellor Cheryl Siemers. E&F Director We were able to interview two people for the E&F Director this week and have made an offer to a potential director. We are waiting for a response. KCHC The Projects Team and I met with Olivera Wilson, her architect team, and representatives from Providence about KCHC's desire to expand their clinic. Providence is going to go over the information that they provided and let us know if they are able to support the expansion or if they have reservations about the proposed changes. RentalScape Our kick-off meeting is tomorrow morning at 10:30AM. Members from KIB and the City of Kodiak will be attending. Page 14 of 136 AGENDA ITEM #11.A. KIB Communications Chief Ellis called a meeting of KIB stakeholders to go over future communications needs and introduced what it would take for KIB to switch from analog to digital communications. This will likely be an upcoming project. Regional Solid Waste Management Plan The Projects Team (Codi and Patricia) and I went to a solid waste workshop at the invite of KANA to present about the Regional Solid Waste Management Plan and to answer questions about the Kodiak Landfill. They both did a great job with presenting the on -road system progress of the plan. Current Recruitments • E/F — Director (offer out), Environmental Specialist /Landfill Manager, Leachate Treatment Plant Operator (all three levels) and General Laborer • CDD -Code Enforcement Officer Finance Department Property Assessment and Taxation Implementation Project Staff is entering information in both the new and legacy tax collection systems and will continue this dual entry through at least February. This is necessary to ensure payment postings, penalty and interest calculations, and account balances are correct. Finance, IT and assessing have reviewed the Property Access module and are waiting for several programing items to be finished before it can go -live. Community Development Planning and Zoning Commission - November 19 Regular Meeting The Commission approved a variance for a front yard setback for 1818 Mission Road, a street name change in Old Harbor to change Landfill Road to Tsunami Road, and recommended approval to the Assembly regarding a code amendment related to short- term rental changes to definitions and related amendments to zoning compliance permits, zoning districts, and parking requirements within Title 17. Information Technology IT has been working with the Clerks on setting up digital forms capabilities within Laserfiche for the Clerks and the KIB staff and is continuing to update the KIB systems for security and stability issues. Systems Administration IT is testing and applying new system patches and security hotfixes to KIB systems and is working with Assessing and Finance with the ongoing migration of PACS to the new Tyler systems. We have also finished the deployment of new monitoring pc systems for E Page 15 of 136 AGENDA ITEM #11.A. KFRC and the landfill which will improve their ability to use on premise video surveillance. State and Local Cybersecurity Grant Program (SLCGP) IT is working on answers regarding the RFP for the immutable backup project and is putting together the justification paperwork needed for the approval of the winning Cybersecurity project RFP contractor for the Alaska Grants office in Juneau. GIS GIS worked with a company that assists ACS and GCI regarding addressing in Kodiak to fix a few address issues. We have also assigned a few new addresses for the Coast Guard on their property and are continuing to work on roughly 15 land parcel addresses for Assessing. GIS is also continuing to work on adapting our internal data translation scripts as a result of the move away from PACS for our public mapping systems. Assessing Senior Citizen (SC) / Disabled Veteran (DV) Exemptions (2025) • Outstanding applications: 6 (4 SC and 2 DV) remain undetermined. Assessing has begun processing supplements in the new software and continues double entry into Harris and Tyler software until the Finance side is working. Senior Citizen (SC) / Disabled Veteran (DV) Exemptions (2026) • SC/DV Village trips with KANA for application filings have begun. Akhiok, Karluk, Old Harbor and Ouzinkie trips have been completed. • The first In -town SC/DV application at the Senior Center occurred on Nov. 191"- There are two more scheduled for Dec. 191" and Jan. 13t" • Assembly call date January 9t" to remind anyone that hasn't filed the date is creeping close. Field Work • Assessing is working in villages and remote areas. • Akhiok, Karluk, Old Harbor and Larsen Bay, Ugak, as well as 40% of remote "fly to only" areas have been completed • Staff needs one '/2 more day in Port Lions and'/2 day in Larsen Bay for cleanup. Exemption Appeals • The Alutiiq Heritage Foundation - Trial scheduled for July 27-29, 2026. Business Personal Property Filing Forms as well as Senior Citizens and Disabled Veterans applications were mailed out Friday Nov. 14. Assessing staff manually printed, stuffed and posted 853 Senior Citizen applications, 136 Disabled Veteran applications, and 1,041 Business Personal Property filing forms. Angel Tree The Borough is hosting an "Angel Tree" gift drive to provide gifts for kids tags is located in the front hallway - and tags are already being will be accepting gifts until December 10th. (Flyer Attached) Holiday Food Drive The Borough hosted a food drive, and the contributions were picked up today. Thank you to all those who contributed this year. Port Lions Fire Alarm Panel Staff had their bi-weekly meeting with the school district maintenance team today (Nov. 20th) and were informed that the fire alarm panel at Port Lions school is in emergent need of replacement. The fire alarm panel is malfunctioning and causing the alarms to go off multiple times during the school day. The manager authorized staff to move forward with emergency request for quotes to get the panel replaced as soon as possible. The tree with claimed! The Angel Tree Solid Waste Code & Contract Updates The Solid Waste Contract Committee held a meeting on November 19' to discuss the proposed ordinance with code changes. There was direction given to staff to make a few small updates and email it for final comments, before presenting it to the Assembly. Landfill • Regional Solid Waste Management Plan Update is due February 28, 2026 • Landfill Fence Repairs: Maintenance Staff has continued to work with the Landfill staff and ADF&G to continue making repairs to the fence. The Manager has requested a meeting with ADEC to discuss and develop a Bear Management plan. • Landfill Contaminated Soil: Staff are working with ADEC to properly dispose of the contaminated soil located at the Landfill. The report has been emailed out to the Architectural Review Board (ARB) and will be discussed at their next regular meeting in early December. After ARB review, it will be presented to the Assembly for direction. Fuel Spill Assistance Long Term Care Comprehensive gap analysis and site investigation work plan to advance towards the closure of the spill at the long-term care center is under contract with NWFF. NWFF and E&F staff have been working with ADEC to ensure that the closeout plan meets all necessary requirements. The final report was received on October 28th. Staff will be submitting this to ADEC for approval. Based on the preliminary findings, KIB will need to hire a third party to conduct more sampling and install a new monitoring well. Karluk Projects office staff are working with 3-Tier Alaska to conduct similar work for the closure of the Karluk fuel spill. That report is due on November 28, 2025. Based on the preliminary findings, KIB will need to hire a third party to conduct more sampling and/or install a new monitoring well. KFRC Industrial Pump Alaska order is moving forward. The manufacturing pump assembly is ahead of schedule and are due to be completed before the end of November. The planned contractor on -site inspection has been foregone to keep the pumps ahead of schedule. The contractor has received videos, photos, and inspection reports for the QA/QC requirements. The new shipment date is December 18th. KFRC Ozonator (Decontamination) project has been on pause awaiting directional response from ADEC to see if this system is still needed based on the sampling KIB has conducted since the discharge permit was issued. Manager spoke with DEC this week and due to the fact that our historical samples are not showing the chlorine is over the allowable limits, especially once you take into consideration the size of our mixing zone in the channel, DEC is going to open a thirty -day comment period that would allow public comment on removing this schedule from our compliance requirements. If our permit is updated, this will save the KFRC Enterprise Fund approximately $750,000.00. Multi -Facility Elevator Modernization Both elevator systems have shipped to Washington State and are being stored until the installation teams are ready to mobilize. PKIMC & KMS ELEVATOR MODERNIZATION — Eauiament Ordered Project Description: This project is for modernization the elevator and all associated components in accordance with the State of Alaska Codes and Elevator Regulations (ASME A17.1) at both locations. As of May 2, 2025, the contract has been executed. TKE came to Kodiak on May 29th to do a thorough survey of both elevators. As of June 13, 2025, all materials have been ordered. Current Status: As of November 13t", the equipment for all three elevator modernizations has arrived in Washington and are awaiting scheduling of mobilization to be shipped to Mobilization for the project should start mid -December. Installing a new sodium bisulfite dichlorination system and associated instrumentation. Replacement of existing sand filter media with new media. In 2021, it was discovered that the Ozone/Decontamination system of KFRC's seawater discharge was not operational. In 2022 KIB, under a professional services contract, hired CRW Engineers to assist the Borough with designing a system that would suit our needs and assist with the preparing the bidding documents. As of April 23, 2025, KIB and CRW have a finalized version of the bid documents. Current Status: As of November 5t", Staff are awaiting written direction from ADEC about modifications to the Discharge Permit for KFRC. The modifications to the permit will most - likely determine if this project moves forward or not. The KIB Assembly approved the purchase and installation costs of five (5) pumps from IPA (Industrial Pumps of Alaska). Current Status: As of November 18t", the pumps are ahead of schedule and are estimated to be completely assembled by the end of the month and are due to arrive in mid -December. KIB MAIN BLDG ROOF WARRANTY REPAIRS — Awaiting Construction Project Description: This project will consist of the removal of the section of failed roofing material and the demolishing of the curbs that supported systems no longer in service. On June 23, 2025, Johns Manville conducted an inspection with a certified installer. The work is anticipated to be completed by Friends Contractors in the spring of 2026. Current Status: Awaiting materials delivery and weather to conduct the work. SARGENT CREEK PLAYGROUND UPGRADES - Investigation Project Description: This project is for procurement and installation of updated playground equipment at Sargent Creek Park. This is a grant funded project. Grant award was $251,426.50 and was redirected by resolution FY2024-04 from the Antone Dock Upgrade project. In April 2024, three new playground equipment items were procured. In September 2024, site work and two of the three new equipment pieces were installed. The third piece was not installed due to cost, space, and safety zone considerations. Current Status: Staff are currently investigating the costs for installation for the third piece of equipment and other site improvements. Remaining funds for grant: $97,258.67 KARLUK FUEL SPILL ADEC CLOSEOUT — Task One 90% Project Description: This project will consist of three tasks. Task one is the development of an ADEC approved work plan for additional characterization at the Karluk School. Task two is the field work associated with characterizing and delineating the extent of the remaining contamination at Karluk. Task three is the characterization report itself. FUTURE PROJECTS IN DESIGN NORTHSTAR ELEMENTARY ROOF & SKYLIGHT REPLACEMENT — 95% Project Description: This project is for the replacement of the NorthStar Elementary school roof and sky light. This design is being managed by JYW at a cost of $99,423. The ARB voted to move forward with bringing in a structural engineer to assess the stability of the structure and if it will be sufficient to hold solid walls as proposed. On May 15, 2025, the Assembly approved the change order to bring in a structural engineer to help finish the design in the most cost-effective way possible. Current Status: As of September 17t", Staff redirected JYW to continue with the updated design for the skylight with the structural engineer's input. Change Orders this Period: Change Order #21.1 for $8,280.00 EAST ELEMENTARY ROOF REPLACEMENT — Project Description: This project is a continuation of the conceptual design efforts made in 2022. The scope of the project is for the replacement of the 1984 and 1987 wings of the East Elementary school roof, replacing the roof in all areas not re -roofed in 2016. The original flat portion of the building will be reconstructed to raise the pitched roof and eliminate the internal gutter between the newer and older roof sections. The design is being managed by JYW with PND Engineers, INC. with a combined design effort at a cost of $119,344. Current Status: On July 23rd, the Architectural Review Board (ARB) met and reviewed the 65% drawings and approved moving forward to 95% drawings with the clarification of the location of asbestos and fire regulations for the gutter space. Staff is waiting until the spring to conduct the necessary HAZMAT sampling. POOL CONDITION SURVEY — Project Description: This project will consist of a site visit by an architect, aquatics specialist, and electrical, mechanical and structural engineers. A written condition report will document the findings as well as recommendations for a project scope to repair deficient items. KODIAK ISLAND BOROUGH STAFF REPORT NOVEMBER 20, 2025 ASSEMBLY REGULAR MEETING SUBJECT: Contract No. FY2026-26, Mill Bay Beach Stairs And Picnic Table Replacement With S&S Enterprise DBA Kodiak Lawn Care ORIGINATOR: Aimee Williams, Borough Manager RECOMMENDATION: Move to authorize the Borough Manager to execute Contract No. FY2026-26 for the Mill Bay Beach Stairs and Picnic Table Replacement with S&S Enterprise DBA Kodiak Lawn Care. DISCUSSION: The existing stair structure at Mill Bay Beach is constructed of wood. Unfortunately, over the years, sections of the stairs have repeatedly been removed or damaged by community members using the wood as firewood. This ongoing issue has required the Borough to spend additional funds replacing treads and handrails multiple times. To address this recurring problem, staff recommend replacing the current wooden structure with a durable metal stair system. A metal structure would significantly reduce maintenance costs and prevent further damage or loss of materials. Similar vandalism has occurred with the picnic tables at the site - several have bene pulled from the ground and used for fires. Even one of the metal tables has been burned and is now charred. If the alternate bid is approved, staff recommend replacing two of the existing wooden tables that have sustained the most damage. Staff presented the designs to the Architectural Review Board (ARB), which were then approved by the ARB on July 23, 2025. Due to the long lead time on materials for this project, Staff issued the bid package this fall instead of waiting for spring. The project is anticipated to be completed on or before May 30, 2026. Staff issued an invitation for bid for this contract September 25, 2025, advertised for the designated three weeks per KIB Code 3.30.040, and bids were due November 4, 2025. There was a mandatory pre -bid meeting held on October 20, 2025, and there was one contractor in attendance. At the bid opening staff received one (1) bid package. Following the review of the bid package Staff determined S&S Enterprise DBA Kodiak Lawn Care to have a complete bid package and is the only bidder and therefor the lowest cost bidder. Page 5 of 36 a 3.0 FAIR COMPETITION. More than one Bid from an individual, firm, partnership, corporation, or association under the same or different names will not be considered. If the Borough believes that any Bidder is interested in more than one Bid for the work contemplated, all Bids in which such Bidder is interested will be rejected. If the Borough believes that collusion exists among the Bidders, all Bids will be rejected. 4.0 RESPONSIBILITY OF BIDDERS. Only responsive Bids from responsible Bidders will be considered. A Bid submitted by a Bidder determined to be not responsible may be rejected. Nothing contained in this section deprives the Borough of its discretion in determining the lowest responsible bidder. Before a Bid is considered for award, a Bidder may be requested to submit information documenting its ability and competency to perform the work, according to general standards of responsibility and any special standards which may apply. It is Bidder's responsibility to submit sufficient, relevant, and adequate information. Borough will make its determination of responsibility and has no obligation to request clarification or supplementary information. 5.0 NON -RESPONSIVE BIDS. Only responsive Bids will be considered. Bids may be considered non -responsive and may be rejected. Some of the reasons a Bid may be rejected for being non- responsive are: a. If a Bid is received by the Borough after the Deadline for Bids. b. If the Bid is on a form other than that furnished by the Borough, or legible copies thereof, or if the form is altered or any part thereof is detached; or if the Bid is improperly signed. c. If there are unauthorized additions, conditional or alternate Bids, or irregularities of any kind which may tend to make the bid incomplete, indefinite, ambiguous as to its meaning, or in conflict with the Borough's Bid document. d. If the Bidder adds any unauthorized conditions, limitations, or provisions reserving the right to accept or reject any award, or to enter into a contract pursuant to an award. This does not exclude a Bid limiting the maximum gross amount of awards acceptable to any one Bidder at any one Bid opening, provided that any selection of awards will be made by the Borough. e. To consider federal, state, and local laws and regulations that may affect cost, progress, or performance of the work, 2. Page 6 of 36 a that the Bidder has complied with every requirement of Article 6.0, "Bidder's Examination of Contract Documents " herein, that without exception the Bid is premised upon performing the work required by the Contract Documents and such means, methods, techniques, sequences, or procedures of construction as may be indicated in or required by the Contract Documents, and that the Contract Documents are sufficient in scope and detail to indicate and convey understanding of all terms and conditions for performance of the work. 7.0 BID FORM/SCHEDULE. a. Bids and bidding information shall be submitted on the Bid Form/Schedule and other documents provided and as stipulated in the ITB. b. All blanks on the Bid Form/Schedule shall be filled out. c. All requested Alternates shall be bid. If no change in the Base Bid is required, enter 110." d. The Bidder shall make no stipulations on the bid form nor qualify the Bid in any other manner. e. All documents requiring a signature shall be signed by the person or persons legally authorized to bind the Bidder to a contract. A Bid by a corporation shall further give the state of incorporation and have the corporate seal affixed. A Bid submitted by an agent shall have the current power of attorney attached certifying the agent's authority to bind the Bidder. 8.0 SUBMISSION OF BIDS. All information required for bidding shall be submitted in accordance with the ITB. The Bidder shall assume full responsibility for timely delivery at the location designated for receipt of Bids. Oral, telephonic, telegraphic, facsimile or other transmitted bids will not be considered. Alteration of bids by facsimile may be permitted as provided in section 10.0(c). 9.0 DISCREPANCIES IN BIDS. In the event there is more than one Pay Item in a Bid Schedule, the Bidder shall furnish a price for all Pay Items in the schedule, and failure to do so may render the Bid non- responsive and cause its rejection. In the event there are Unit Price Pay Items in a Bid Schedule and the "amount" indicated for a Unit Price Bid Item does not equal the product of the Unit Price and quantity, the Unit Price shall govern and the amount will be corrected accordingly, and the Bidder shall be bound by said correction. In the event there is more than one Pay Item in a Bid Schedule and the total indicated for the schedule does not agree with the sum of the prices Bid on the individual items, the prices Bid on the individual items shall govern and the total for the schedule will be corrected accordingly, and the Bidder shall be bound by said correction. 10.0 BID MODIFICATIONS AND UNAUTHORIZED ALTERNATIVE BIDS. a. A Bid may not be modified, withdrawn, or canceled by the Bidder for 90 days following the time and date designated for the receipt of Bids, and each Bidder so agrees in submitting a Bid. b. Prior to the date and time designated for receipt of Bids, a Bid submitted may be modified or withdrawn by the Bidder. c. See the Bid Modification form which must be used to modify a bid after it has been submitted. The bid modification form may be delivered in person, by mail, by fax (907-486-9394) or email to EFprojects@kodiakak.us. The Bid Modification form must be received by the Contact Person no later than the deadline for bids. The procurement officer may reject any bid that does not comply with all the material and substantial terms, conditions, and performance requirements of the ITB. Bidders may not qualify the bid nor restrict the rights of the state. If a bidder does so, the procurement officer may determine the bid to be a non -responsive counteroffer and the bid may be rejected. Minor informalities that may be waived by the Engineering & Facilities Director are as follows: a. Do not affect responsiveness, b. Are merely a matter of form or format, c. Do not change the relative standing or otherwise prejudice other bidders, d. Do not change the meaning or scope of the ITB, e. Are trivial, negligible, or immaterial in nature, f. Do not reflect a material change in the work, or g. Do not constitute a substantial reservation against a requirement or provision. The Borough reserves the right to refrain from making an award if it is determined to be in the Borough's best interest. 12.0 BID PROTESTS In the event protest(s) are received, the Borough Manager shall address the protest as provided in the procurement ITB and the Borough Code, as applicable. The protest period shall follow the requirements outlined in this section. In accordance with the Borough's General Conditions 3.1.5 the Protest period will begin on the date of the Notice of Intent to Award. A formal written protest shall be filed by an aggrieved bidder within ten (10) calendar days of the date on Notice of Intent to Award. Late protests shall not be considered. The written protest shall, at a minimum, include the following: • Name, address, and phone number of protesting contractor; • Authorized signature of the protesting contractor, or the contractor's representative; • Identification of the proposed award; • A detailed statement of the legal and factual grounds of the protest; • Copies of all relevant documents. Protests will be evaluated by the Borough Manager within fifteen (15) calendar days of receipt of the protest. The decision of the Borough Manager shall be final. Page 8 of 36 a 13.0 KODIAK ISLAND BOROUGH NOT RESPONSIBLE FOR PREPARATION COSTS The Borough will not pay any costs associated with preparation, submittal, presentation, or evaluation of any bid. 14.0 AWARD OF CONTRACT. Award of a contract, if it is awarded, will be on the basis of materials and equipment described in the Drawings or specified in the Technical Specifications and will be made to the lowest responsive, responsible Bidder whose Bid complies with all the requirements prescribed. Unless otherwise specified, any such award will be made within the period stated in the Notice Inviting Bids that the Bids are to remain open. Unless otherwise indicated, a single award will be made for all the Bid items in an individual Bid Schedule. If the Borough has elected to advertise this Project with a Base Bid and Alternates, the Borough may elect to award the contract for the Base Bid, or the Base Bid in combination with the Alternate. In either case, award shall be made to the responsive, responsible bidder offering the lowest total lump sum amounts listed in the Base Bid Table for the work to be awarded. In the event of a tie, the Borough may elect to award the contract to the bidder with the lowest total lump sum amounts listed in the Alternate Bid Table as the determining factor. The Borough reserves the right to cancel the procurement without liability to the bidder, except return of the bid security, at any time before the Agreement has been fully signed by all parties, including the Borough. 15.0 DISCLOSURE OF BID CONTENTS This section governs the ownership, return, and disclosure of any offer or other record a bidder submits in response to this ITB. (Herein, any reference to "Record" includes all such records and the offer; any reference to "Law" includes any federal or State of Alaska (State) law, including any court or administrative order or rule.) a. All Records belong to the Borough. b. The Borough has sole discretion regarding whether to return any Record. In exercising this discretion, the Borough will comply with all Laws. c. Unless a notice of intent to award is issued, the Borough will, to the extent permitted by Law, consider all Records confidential and not subject to the Alaska Public Records Act (APRA). d. The Borough will only notify a bidder of a request for the Record and of a planned release if the bidder undertook each protective measure, but the Borough disagrees that the marked information is protected. Page 28 of 36 a Kodiak Island Borough Special Conditions SC 01 General Statement The Special conditions set forth conditions and requirements unique to this Project and are supplemental to, and supersede, the Borough's "General Conditions." SC 02 Scope of Work The Scope of Work of the Base Bid of this Contract shall include providing all labor, materials, tools, equipment, transportation, supervision and facilities necessary to: Base Bid The base bid shall include furnishing all labor, materials, tools, equipment, transportation, supervision, and facilities, as well as all associated mobilization and demobilization costs, required to complete the work in full compliance with the drawings and specifications provided in Exhibits A and B. The scope of work encompasses, but is not limited to, the following: • Procurement of new materials to replace the existing stair components; • Complete removal and proper disposal of the existing stair structure; • Installation of the new stair structure, ensuring compliance with the design, construction, and safety standards outlined in the contract documents. The Contractor shall perform all work in a professional and workmanlike manner, maintaining the project schedule, minimizing disruptions, and coordinating with the Borough as necessary to achieve satisfactory completion. Alternate Bid(sl Alternate Bid #1 shall include furnishing all labor, materials, tools, equipment, transportation, supervision, and facilities, along with mobilization and demobilization costs, to complete the removal and installation of a Borough -provided picnic table. Corporate Acknowledgement Invoice Documentation: The Contractor shall submit to the Contracting Officer (or Project Manager if designated by the Owner) a completed Application for Payment covering the Work completed as of the date of the Application for Payment and accompanied by such supporting documentation as is required by the Contract Documents and General Conditions. Closing Documents: The Contractor shall provide the Borough any and all closing documents referenced in the Contract Documents and General Conditions. SC 05 Inspection of Work All inspections will be conducted in accordance with the specifications outlined in Exhibit B. For all permit required inspections, the contractor will coordinate inspections with the Building Official's office for any and all inspections needed. Contractor will inform the Borough of any inspections, so they have the opportunity to be present. SC 06 Suitable Materials Contractor will ensure the materials meet or exceed the requirements outlined in the drawings, specifications, or manufacture's instructions. SC 07 Special Site Conditions The location of the project is a public beach access site. The Contractor will take all necessary measures to protect the public, surrounding environment, and existing infrastructure during construction. At a minimum, the following requirements apply: • Establish and maintain a secure work zone with temporary fencing, barricades, or other barriers to prevent unauthorized entry. • Post clear signage indicating construction activity, restricted access, and alternate pedestrian/beach access routes if available. • Maintain all safety controls in good condition throughout the duration of the project. • Prevent construction debris, dust, or materials from entering the water, beach sand/rock, or storm drainage systems. • Use containment measures (tarps, nets, booms, or silt fencing) as appropriate to control runoff and debris movement. • Store all materials and equipment above the high-water line and in designated staging areas as approved by the Borough. • All removed stair and picnic table materials, demolition waste, packaging, and unused materials shall be hauled off -site to the Kodiak Island Borough Landfill at the cost of the Contractor. SC 08 Hazardous Waste Generation Every effort to minimize or eliminate the generations of hazardous waste shall be used by the Contractor in the performance of the work of this Contract. Unless there is no substitute, no hazardous material shall be used in the performance of the work of this Contract. Page 30 of 36 a SC 09 Site Preservation, Restoration, Cleanup and Environmental Reporting The Contractor shall be fully responsible for any damage to public or private property resulting from its operations. Any such damage shall be promptly reported to the Borough, and the Contractor shall, at its own expense, clean, repair, and restore the affected property to its original condition or better. In the event of a spill or release of hazardous substances, the Contractor shall immediately notify the appropriate governmental agencies and the Borough. The Contractor shall bear full responsibility for all cleanup costs, remediation, and any fines or penalties that may result. Throughout the duration of the work, the Contractor shall maintain the premises in a clean, safe, and orderly condition. Upon completion, the Contractor shall repair any damage or disturbed ground caused by its equipment, remove all waste and excess materials, and leave the project site as close to pre - construction condition as possible. SC 10 Permits The Contractor shall obtain all licenses and permits that are required to do the work. SC 11 Order of Award of Alternative Bids Additive Alternate and/or Deductive Alternative Bids will be awarded, if any are awarded, in any order determined to be the most advantageous combination by the Borough. SC 12 Payment Payments shall be in accordance with Article 13, Payments to Contractor and Completion, in Section 00710- General Conditions Contract. All invoices for payment must be submitted on and invoice with an accompanying Application for Payment and updated Schedule of Values (if applicable). Disbursement of money to a person, firm or corporation will be made only after all the various receivable accounts of the general government and any municipal utility or enterprise have been reviewed for outstanding balances owed, and the disbursement will be reduced by setting off the amount of any delinquent indebtedness due the Borough from such person, firm or corporation. All contracts to which the Borough is a party which will or may involve the disbursement of Borough funds shall contain the following clause, or its substantial equivalent: "Disbursement of money by the Borough hereunder shall subject to set-off pursuant to the provisions of the Borough Code." Such contracts include, but are not limited to, oral contracts, employment contracts, construction contracts, purchasing contracts and contracts of any municipal utility or enterprise, including customer's deposits. This form is used to verify that the Contractor is in compliance with the Borough Code outlined below. The Finance Department's review can occur at any stage of the bidding process. If, at the time of award, the Contractor is found to be in violation of the code, the bid will be awarded to the next responsive and responsible bidder. KIB Code 3.30.115 A. The Borough shall not award a contract or purchase order to any person, corporation, or other business entity who is delinquent in paying (1) any tax levied by the Borough; (2) any special assessment levied by the Borough; (3) any charge for utility or municipal waste services; or (4) any other Borough fee due under the code, unless the person, corporation, or other business entity cures the delinquency within 30 days after the mailing of written notice of the delinquency. Repairing Formed Surfaces: Surface defects include color and texture irregularities, cracks in excess of 0.01 inch spalls, air bubbles exceeding surface finish limits, honeycombs, rock pockets, fins and other projections on the surface exceeding surface finish limits, and stains and other discolorations that cannot be removed by cleaning. Immediately after form removal, cut out honeycombs, rock pockets, and voids more than 1/2 inch in any dimension to solid concrete. a. Limit cut depth to 3/4 inch. b. If represented by both a municipality and a borough, funds were split evenly. The Board had reviewed the project in the past, it is being brought back as a refresher now that the project is elevated in urgency. During the last review the responses from the notes from ARB discussion was that the unit would be removed from the roof, there would be no covering (not feasible or recommended), the type of refrigerant is staying the same, and some parking spaces will be relocated to accommodate the unit being on the ground next to the building. John from AMC is seeking approval to move forward with the project to finish out the design to be able to start ordering long lead time parts and equipment. The plan would be to finish design out in fall of 2025, make orders in 2026, and install in the winter of 2026. RECITALS A. The BOROUGH and ATTORNEY recognize that under Kodiak Island Borough Code 2.65.010 the Assembly may retain legal counsel to act on the BOROUGH's behalf, and B. The Assembly desires to retain ATTORNEY as the duly appointed legal counsel to provide legal services to the BOROUGH; and C. The BOROUGH and ATTORNEY desire to provide for certain compensation and requirements related to the Professional Services Agreement ("Agreement") between ATTORNEY by the BOROUGH; and D. ATTORNEY represents that the attorneys responsible for the BOROUGH's legal work are and will be licensed to practice law in Alaska. NOW, THEREFORE, for and in consideration of the terms, covenants, conditions, and provisions contained herein, and/or attached and incorporated herein and made a part hereof, the Parties hereto agree as follows: Section 1: Agreement to Perform. The BOROUGH agrees to contract with the ATTORNEY, and the ATTORNEY agrees to perform the duties of the Borough Attorney of the BOROUGH as listed in the Borough Attorney duties included in Exhibit A attached hereto and incorporated by reference, and to comply with the terms specified in the accepted proposal included as Exhibit B attached hereto and incorporated herein by this reference. The ATTORNEY shall be an independent contractor providing general counsel legal services. Section 2: Outside work. As an independent contractor, ATTORNEY will engage in separate legal work for other clients. ATTORNEY is not an employee, partner, agent, or joint venturer of the BOROUGH. ATTORNEY shall comply with all applicable ethical restrictions related to conflicts of interest and shall not use BOROUGH property in the performance of non - BOROUGH work. Additional provisions related to conflicts of interest are included in Exhibit C attached hereto and incorporated herein by reference. Borough Attorney — Professional Services Agreement Page 1 of 5 Page 124 of 136 AGENDA ITEM #19.A. Section 3: Term of the Contract. This Agreement shall be for a term of three (3) years commencing on December 1, 2025, and continuing throughout the term, until December 31, 2028 (the "Term"), unless either Party terminates this Agreement consistent with Section 8 below before the end of the Term. Thereafter, the contract may be renewed for up to three (3) additional one-year extensions (the "Extension Term(s)") upon mutual agreement of the Parties. Section 4: Compensation. The BOROUGH agrees to pay ATTORNEY for services rendered on a monthly basis as invoiced at the hourly rates and expense reimbursements described in Exhibit B (ATTORNEY's submitted price proposal). At the conclusion of the Term, should the Parties elect to renew the contract for an Extension Term, the Parties may adjust the rates contained in Exhibit B by mutual agreement. Invoices shall itemize hourly work identifying the work performed and for which department, and the time to the nearest one tenth (1 / 10th) of an hour, fees charged, and itemized costs for which reimbursement is sought. Upon approved billing, payment will be remitted within 30 days. The Parties intend that the compensation shall be paid on the basis that ATTORNEY is an independent contractor. Section 5: Facilities, equipment and contracted services. (a) ATTORNEY shall provide all supplies, equipment, and facilities as needed to provide the services and responsibilities set forth in Exhibit A without additional compensation except as provided in Exhibit B. (b) Should ATTORNEY recommend that the BOROUGH utilize contracted legal services or support services for performing some or all of the BOROUGH's legal service needs, any contracts for, and all payments for, such services must be approved by the BOROUGH Manager in addition to any approvals which might otherwise be required under the Kodiak Island Borough Code. Section 6: Contract Administration and Access to Personnel. The Manager shall be the contract administrator. The Manager shall secure the cooperation of the BOROUGH personnel necessary to facilitate the ATTORNEY's performance under this Agreement. Section 7: Professional Liability Insurance. ATTORNEY shall maintain professional liability insurance in an amount of not less than $1 million as described in the August 8, 2025 Request for General Counsel Legal Services Section 8: Termination. This Agreement may be terminated as follows: (a) By mutual consent of the Parties at any time. (b) By the Assembly for convenience of the BOROUGH, with or without prior notice. (c) For cause by either Party where the other Party fails in any material way to perform its obligations under the Agreement. Termination under this subsection is subject to the condition that the terminating Party notifies the other Parry of its intent to terminate, stating with reasonable specificity the grounds therefor, and the other Party fails to cure the default within 15 days after receiving the notice. (d) Voluntary Termination. ATTORNEY may voluntarily resign at any time upon at least 30 days' notice. Section 9: Duties on Termination. If the services are terminated, ATTORNEY will be paid as provided in Section 4 for work performed prior to termination, and all finished and unfinished documents, work product, and materials prepared by ATTORNEY remain the property of the BOROUGH. Upon termination, ATTORNEY shall not be entitled to any compensation beyond that provided in Section 4, and the Manager may withhold final payment until all files and work in progress have been provided to the Manager or the Manger's designee. Section 10: Miscellaneous. (a) Terminology. Whenever herein the singular number is used, the same shall include the plural, and the masculine gender shall include the feminine and neutral gender. (b) Paragraph Headings. The headings of the several sections and subsections contained herein are for convenience only and do not define, limit or construe the contents of such sections and subsections. (c) Successors and Assigns. Except as otherwise provided herein, the covenants, agreements and obligations herein contained shall extend to bind and inure to the benefit not only of the Parties hereto but their respective personal representatives, heirs, successors and assigns. (d) Assignment. Unless otherwise allowed by the Manager or directed by the Assembly, any assignment of interest in this Agreement or delegation of duties under this contract shall be void. Any attempt to assign this contract shall give the BOROUGH the right to terminate this contract immediately. (e) Severability. In the event any provision of this agreement is adjudicated or held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Any dispute regarding this Agreement shall be brought in the Superior Court for the state of Alaska sitting in Kodiak, and Alaska law shall apply to any such disputes. (g) Amendments. This Agreement may be amended only by a writing signed by both Parties. Any attempt to modify this Agreement by an unauthorized method or unauthorized person shall be void. (h) Engagement Letter Terms. The Parties agree to the supplemental contract terms included in ATTORNEY's Engagement Letter at Exhibit C attached hereto and incorporated by reference. EXHIBIT A BOROUGH ATTORNEY DUTIES The Borough Attorney shall act as the legal advisor to the Borough Assembly, administration, and other officials of the Borough to include, without limitation, the following: 1. To duly advise the Assembly, administration, and other officials at meetings of the Assembly and other functions as may be designated; 2. To draft opinion letters regarding, among other subjects, the interpretation of the Borough Code, state and federal laws, and policies; 3. To draft municipal ordinances involving all municipal matters; 4. To review and provide opinions on codes, contracts, resolutions, and other written instructions which are submitted to the attorney by the Borough; 5. To call attention of the Assembly and/or Manager, as may be appropriate, to or of changes or developments in legal matters that affect the Borough; 6. To represent the Borough in all civil and criminal proceedings affecting the Borough; however, the Borough Assembly may hire independent counsel when in its judgment independent counsel is needed.; and 7. To perform other such duties as may be prescribed for the Borough Attorney by ordinance or by direction of the Assembly and/or Manager. Litigation always involves some uncertainty, and nothing in this agreement should be construed as a warranty of a particular outcome.
