FY200X -XX 11 12 AN ORDINANCE OF THE ASSEMBLY OF THE KODIAK ISLAND BOROUGH 13 AMENDING TITLE 3 REVENUE AND FINANCE CHAPTER 3.30 CONTRACT, 14 PURCHASE, SALE, AND TRANSFER PROCEDURES TO MAKE INFORMATION 15 ABOUT BOROUGH CONTRACTS MORE READILY AVAILABLE TO THE PUBLIC 16 AND OTHER RELATED MATTERS 17 18 WHEREAS, the Kodiak Island Borough has established procedures for entering into contracts 19 for goods and services in a manner intended to be cost — effective for the Borough and Fair to all 20 potential contracts; and 21 22 WHEREAS, the procedures set forth in Chapter 3.30 of the Kodiak Island Borough Code 23 should be amended to have the Borough Manager report to the Assembly regarding certain 24 contracts entered into under the Manger's administrative authority, although it is the Assembly's 25 intent that any delay in reporting will not affect the validity of the contract; and 26 27 WHEREAS, notices to potential bidders and proposers should be made available by 28 electronic means, as well as by newspaper publication; and 29 30 WHEREAS, the privileges and immunities clause of the United States Constitution 31 significantly limits the right of the Borough to grant a contracting preference to local residents or 32 companies; and 33 34 NOW, THEREFORE, BE IT ORDAINED BY THE ASSEMBLY OF THE KODIAK ISLAND 35 BOROUGH THAT: 36 37 Section 1: This ordinance is of a general and permanent nature and shall become a part of 38 the Kodiak Island Borough Code of Ordinances; 39 40 Section 2: Kodiak Island Borough Code Chapter 3.30 Contract, Purchase, Sale, and 41 Transfer Procedures is hereby amended as follows: 42 43 3.30.010 Contract, purchase and sale and transfer procedure. 44 The manager may carry out any of the following: 45 A. Contract for, purchase, or issue purchase authorizations for all supplies, materials, 46 equipment, and services for the offices, departments, and agencies of the borough; 47 B. Sell surplus, obsolete, or unusable personal property for the offices, department, and 48 agencies of the borough; 49 C. Transfer supplies, material, and equipment to or between the offices, departments, and 50 agencies of the borough; or 51 D. Contract for the construction, repair, or improvements of borough facilities. The manager will report to the assembly at its next regular meeting contracts between 57 the borough and a member of the assembly or an assembly member's , 58 father, immediately family or business in which the assembly member is associated or has an 59 ownership interest that are less than $25,000. Assembly member related contracts that are over 60 $25,000 need to follow regular procurement process. 61 62 3.30.030 Open market procedures. 63 A. The 84 notice shall contain a general description of the property, work, or service; state where the 85 bid forms and specifications may be obtained; specify the place for submission of bids and 86 the time by which they must received. 87 B. The purchase or contract,shall be awarded to the lowest responsible bidder, or in the case 88 of a sale to the highest responsible bidder. 89 C. Utilities are exempt from this section. 90 91 3.30.050 Processing of bids. 92 Notwithstanding other provisions of this chapter relating to the award after competitive bid for 93 purchases, sales, and contracts, the borough may: 94 A. Reject defective or nonresponsive bids; 95 B. Waive any irregularities in any and all bids; 96 C. Reject all bids; Kodiak Island Borough, Alaska Ordinance No. FY2013 -XX Page 2 of 7 97 D. Negotiate with two or more of the lowest bidders, if bid prices are in excess of the money 98 available or authorized, for a reduction in the scope, quality, or quantity of the purchase, 99 service, or contract; or 100 E. Readvertise for bids with or without making changes in the plans or specifications. 101 102 3.30.060 Local preference. 103 The assembly may, in its discretion, direct an award of a contract for the purchase of personal 104 property or services after competitive bidding to a responsible bidder who maintains a business 105 office or store within the borough from which the property or service would be provided, if that 106 bid does not exceed the lowest responsible bid by more than 10 percent. 107 108 3.30.070 Exception to bidding requirements. 109 The requirements of this chapter relating to solicitation of competitive bids and award to the 110 lowest responsible bidder shall not apply to: 111 A. Contracts for professional or unique services The Assembly shall review contracts for 112 professional or unique services such as / architects, engineers, s, surveyors, attorneys, or 113 accountants if the manager recommends ed exempting the cont from the regular 114 bidding process. Contracts ler \ street improvements \involving donated services and materials when the 129 assembly has determined not \to create an assessment district and has approved a project. 130 The following st ps shall be taken before a proposed contract is submitted to the assembly 131 for approval: \\ 132 1. An applicant shall first'submit to the engineering and facilities department director a 133 proposal that fully complies with Chapters 4.45, 16.70, and 16.80 KIBC along with a cost 134 estimate that reasonably describes the value of the services and materials included in 135 the proposal as well as the procedure for addressing any change orders; 136 2. After the engineering and facilities department director accepts the proposal, the 137 applicant shall submit to the borough finance director proof of ability to comply with 138 Chapter 3.65 KIBC; and 139 3. The proposal shall be referred to the applicable road service area board for review and 140 recommendation to the assembly; Kodiak Island Borough, Alaska Ordinance No. FY2013 -XX Page 3 of 7 141 4. After the borough finance director approves the proposed bonding and a 142 recommendation has been received from any reviewing service area board, the 143 assembly shall hold a public hearing with notice to affected property owners as follows: 144 a. Publication in a newspaper of general circulation in the borough at least once a week 145 for two consecutive weeks prior to the public hearing; 146 b. Mailing at least 15 days before the public hearing to all record owners of property 147 with frontage on the street to be improved. "Record owners" means the person or 148 persons listed as the owner of the property on the current property tax records of the 149 assessor. The notice shall be mailed to the record owner at the address stated in the 150 assessor's tax records; and 151 c. Every notice of a public hearing required by this section shall state the date, time, 152 location, and purpose of the public hearing and shall describe the improvement. The 153 notice shall also state that, if the assembly approves the proposal, no assessment 154 district will be formed and the borough\will not\participate in the allocation or 155 collection of costs among the respective property owners 156 5. After the public hearing, the assembly may,approve the project, with or without additional 157 conditions. If the assembly approves the project, it shall authorize the manager to 158 execute the contract. 159 3.30.080 Lowest responsible bidder. \\ \\\\ 160 In determining the lowest responsible .bidder, the assembly may consider: 161 A. The bid price; ���� 162 A. The ability, capacity and skill of the`bidderos ` rform the contract within the time specified; 163 B. The character, integrity- reputation, judgment and experience the bidder; awl 164 C. The quality of performance of :previous contracts and 165 D. If more than one is det rrnined to�belesponsi I using the factors described in A, B, 166 and C, then the responsible bidder with the (lowest bid price will be considered to be the 167 lowest responsible bidder-. 169 3.30.090 Requirements mandatory 170 Except.as.provided in KIBC 3.30:110, a purchase, contract, or sale involving expenditure of 171 borough funds or other assets in xce'ss of $25,000 subject to the provisions of this chapter 172 shall not be valid, enforceable or Yindi g pon the borough unless the established requirements 173 have been satisfied and the contract, purchase, or sale approved by the assembly. 174 \\ 175 3.30.100 Change orders — Manager authority. 176 G. The manager, or designee /is authorized, without assembly approval, to enter into change 177 orders with respect to—borough conctruction projects where the amount of additional 178 expenditure occasioned by the change order or orders does not, in the aggregate, exceed 179 $19 the total amount of the designated project contingency. The manager, or designee, 180 shall report monthly to the assembly the nature and amount of such change orders. 181 ®rojects bharigtotclerd should include a full budget for the project that indicates the 182 amount of project contingency funds. Similar types of 210 work, even if performed in different geographic locations are considered in the aggregate' N. 211 regardless of the projectxcontract,�purchase \orders, or change order and require Assembly 212 approval if the total work amount,to one•bidder exceeds $25,000 in one fiscal year. 213 � ,�- - � \\/ \\) 214 3.30.110 Competitive sealed proposals — Negotiated procurement. 215 A. If t he `manager determines th at use of competitive sealed bidding is not practicable, the 216 borough may procure �supplies,services or construction by competitive sealed proposals 217 under this section. \\\) 218 B. The manager shall solicit \petitive sealed proposals by issuing a request for proposals. 219 The request for\\ proposals)shall state, or incorporate by reference, all specifications and 220 contractual term>and to which a proposal must respond and shall state the 221 factors to be considered in evaluating proposals and the relative importance of those 222 factors. Public notice of a request for proposals shall be given in accordance with KIBC 223 3.30.040. 224 C. Sealed proposals shall be designated as such on an outer envelope and shall be submitted 225 by mail or in person at the place and no later than the time specified in the request for 226 proposals. Proposals not submitted at the place or within the time so specified shall not be 227 opened or considered. 228 D. Proposals shall be received at the time and place designated in the request for proposals 229 and shall be opened so as to avoid disclosing their contents to competing proponents during 230 the process of negotiation. Proposals and tabulations thereof shall be open to public 231 inspection only after the contract award. Kodiak Island Borough, Alaska Ordinance No. FY2013 -XX Page 5 of 7 232 E. In the manner provided in the request for proposals, the manager may negotiate with those 233 responsible proponents whose proposals are determined by the manager to be reasonably 234 responsive to the request for proposals. Negotiations shall be used to clarify and assure full 235 understanding of the requirements of the request for proposals. The manager may permit 236 proponents to revise their proposals after submission and prior to award to obtain best and 237 final offers. Proponents deemed eligible for negotiations shall be treated equally regarding 238 any opportunity to discuss and revise proposals. In conducting negotiations or requesting 239 revisions, neither the manager nor any other borough director or employee shall disclose 240 any information derived from proposals of competing proponents. 241 F. Awards shall be made by written notice to the responsible proponent whose final proposal is 242 determined to be most advantageous to the borough. No criteria other than those set forth in 243 the request for proposals may be used in proposal evaluation. If the manager determines 244 that it is in the best interest of the borough to do so, the borough may reject all proposals. 245 246 3.30.115 Delinquency. 247 A. The borough shall not award a contract or purchase order to any person, corporation, or 248 other business entity who is delinquent in paying (1) any tax levied by the borough; (2) any 249 special assessment levied by the borough; (3) any charge for utility or municipal waste 250 services; or (4) any other borough fee due under the code, unless the person, corporation, 251 or other business entity cures within 30 days after the mailing of written 252 notice of the delinquency. In the cas •of'a..,closely held business, this prohibition shall also 253 apply to the delinquency of their legal principals or officers. For purposes of this section, a ■ 254 payment shall be considered "delinquent" when it not made on or before the applicable 255 deadline established by -the Kodiak Island Bor Code, or by written notice if the code 256 does not establish a deadline, or, if the code does not establish a deadline and a deadline is 257 not established in \tte not • ce, within days of the mailing of written notice that the 258 payment is due. ) L am \ 259 B. The borough y terminate a contract or purchase order if the person, corporation, or 260 other lousin lousiness entit ny y and, in the case e of a closely held business, their legal principals or 261 o becomes delinquent \nt in,payment fo a of the items listed in subsection (A) of this 262 section, unless the delinquency is cured within 30 days after mailing of written notice as 263 above. \\ \\ v 264 C. The borough may deduct from any amount otherwise due the person, corporation, or other 265 business entity'and, in the c a s e of a closely held business, their legal principals or officers 266 under any contractor purchase order an amount equal to the total of all such delinquent 267 amounts that the contractor owes for (1) taxes levied by the borough; (2) special i 268 assessments levied by -the borough; (3) charges for borough utility or municipal waste 269 services; and (4) other borough fees due under the code. 270 D. Nothing in this section shall prevent any person, corporation, or other business entity and, in 271 the case of a closely held business, their legal principals or officers from paying under 272 protest any tax, special assessment, utility or municipal waste charge, or other borough fee, 273 or pursuing appropriate judicial or administrative action to contest or recover any such tax, 274 assessment, charge or fee. 275 E. For purposes of this section, the term "closely held business" shall mean a corporation, 276 limited liability company or other business entity which has less than five unrelated (by blood 277 or marriage) owners.
