For more than 40 years, Friend Contractors, LLC has served Kodiak Island for a wide range of
construction needs. We are proud to be a local Native/Woman Owned Construction Company. Quality
building is more than just wood, concrete, glass or steel. It's an investment of a lifetime. Our investment
is our reputation.
Upon this bid opening, we were excited to see that Friend Contractors was the apparent low bidder on the
Kodiak Landfill Baler Building Roof and Wall Replacement. We then received notification of the Intent
to Award the bid to Triple V Contracting from Big Lake, Alaska based on the Alt 1 bid results which
seemed premature in light of the language in the KIB Code referencing local preference. We have filed
an official letter of protest as outlined in the Notice of Intent to Award.
Kodiak Island Borough Code Chapter 3.30 Contract, purchase, sale and transfer procedures reads:
3.30.060 Local preference.
The assembly may, In Its discretion, direct an award of a contract for the purchase of personal property or
services after competitive bidding to a responsible bidder who maintains a business office or store within the
borough from which the property or service would be provided, if that bid does not exceed the lowest
responsible bid by more than 10 percent [Ord. FY2013-11 §2, 2013; Ord. 76-6-0 §1,1976. Formerly §3.16.0601.
Many of Alaska's local governments have Local Preference Codes. We believe that governments
recognize the value of Local Preference Codes for each community. For this reason, and all of the above,
we respectfully request the Kodiak Island Borough exercise their ability to award this contract under
3.30.060 Local preference code to Friend Contractors, LLC. This KIB Code states you have the authority
to exceed the lowest responsible bid by 10 percent. Our current bid is 4.25% higher than the lowest bid.
Using the above process, the KIB has the discretion to award the project to Friend Contractors as the
apparent low bidder for Alt 1 when adjusted for Local Preference.
We understand the Borough's desire to save taxpayers' dollars. However, as taxpayers in our community,
we would rather see our tax dollars remain in our community and reinvest in the Island's economic
structure. We take pride in the fact we hire employees and subcontractors who live in our communities
and raise their families on our island.

We all know it is more expensive to live on Kodiak Island. Housing is more expensive, food and shipping
are costly. For that reason, we pay our employees more, so they can afford to live here. It is very difficult
when we are bidding competitively with companies who live in communities where these costs are
substantially lower for them. They take this revenue to their own communities and away from Kodiak.
Local employees reinvest in our communities. They pay local taxes, spend their hard-earned dollars here,
their spouses are employed in our community and their children are enrolled in our education system
which all contribute to our Island's economic success. Keeping local dollars makes sense. Having a
responsive local contractor for emergency repairs makes sense.
We believe by working cooperatively with our local governments we can make a positive difference and
keep our Island's economy strong. Over the years, we have grown into a highly qualified team of 17-25
full-time local skilled carpenters, roofers, laborers and employees. When local college students come
home for the summer, we employee them which helps pay for their tuition, and when they return to Kodiak
they will add to the pool of highly skilled people for the next generation.
It's common knowledge that for every dollar spent in Kodiak, it circulates 3 to 7 times. If our estimated
wages were to circulate 5 times, that would be an estimated $726,000. For an additional $26,000
investment (which is the cost difference between Triple V and Friend Contractors Alt 1 bid) it's a pretty
significant return of an investment for the community of Kodiak — provided those dollars stay in Kodiak!
For the Baler job, we intend to assign all subcontractor work to local firms that also employee locally. At
no time will we employee individuals who present themselves as quasi -subcontractors to avoid paying
insurance, prevailing wages and workman's compensation. This is problematic and prevalent in the
Alaska construction market at this time. If these jobs continue to go to off -island companies that don't
maintain a business or pay local taxes and bring their own crews who also don't reside here or contribute
to our economic well-being, then more of our local families will be forced to leave and find work
elsewhere affecting our entire economic structure.
For your additional consideration, we would like you to review another option:
Since the KIB 2017-2018 Annual Operating Budget Page 202 which was adopted June 1, 2017, reflects
an apparent shortage of funds demonstrated by the project budget of $565,000 versus the Alt 1 bids
($602,000-628,455) - which will require you to use contingency funds before the project begins-, you
can have the opportunity to enter into negotiations with two or more low bidders to bring the project into
your stated budget while reviewing value engineering offers or modifications. Reference KIB Code:

It is also important to point out that our growing company paid $50,000 last year alone in Kodiak Island
Borough dump fees, building permits and taxes. Let's work together to keep our local communities strong
and our local people employed! Local dollars should remain local, and the Kodiak Island Borough has
the ability to exercise this under the Local Preference Code.

3.30 070 Exception to bidding requirements.

The requirements of this chapter relating to solicitation of competitive bids and award to the lowest responsible
bidder shall not apply to
A. Contracts for professional or unique services. The assembly shall review contracts for professional or unique
services such as architects, engineers, surveyors, attorneys, or accountants if the manager recommends
exempting the contract from the regular bidding process. "Professional services' means professional, technical,
or consultant's services that are predominately intellectual in character, result in the production of a report or
the completion of a task, and include analysis, evaluation, prediction, planning, or recommendation;
B. Contracts for property or services necessitated by an emergency, if the delays required for compliance with
the bidding requirements would jeopardize the public health or welfare;
C. Contracts for audit and insurance services that may be bid at up to five-year intervals;
D. Contracts entered into using a competitive sealed proposal process as set forth in KIBC 3.30.110;
E. Contracts with a municipality or other political subdivision to the extent authorized by statute with the
assembly holding a public hearing on contracts exceeding $100,000; or
F. Contracts for street improvements involving donated services and materials when the assembly has
determined not to create an assessment district and has approved a project. The following steps shall be taken
before a proposed contract is submitted to the assembly for approval:
3.08.240 PROCEDURES FOR AWARD.
(A) Contracts shall be awarded by written notice issued by the purchasing officer to the lowest
qualified, responsive and responsible bidder, provided that, if the lowest bids are approximately
equal, that is, within the lesser of $2,000 or 5 percent of each other, preference may be given to local
bidders who maintain and operate businesses within the boundaries of the borough.
3.08.460 BOROUGH PREFERENCE POLICY.
It is the policy of the borough to give preference to local residents, workers, businesses, contractors,
producers and dealers to the extent consistent with the law and interests of the public.

Good evening Mr. Mayor, Assembly members, my name is John Whiddon and I am here tonight to address the
Conflict of Interest ordinance.
I strongly oppose the passage of Ordinance FY 2018-16 that attempts to define "Substantial Financial
Interest". First, this Ordinance is a solution looking for a problem. It is not clear to�ie whether the
problem is the place of employment of an Assembly member or the unwillingness or inability of the Assembly
to adhere to an existing ordnance. The existing Ordinance has served the Borough effectively for several
decades. In attempting to create a solution to a perceived conflict of interest problem, Assembly members
constructed a legal problem at the expense of one Assembly member and potentially future Assembly
members.
The ordinance before you is seriously flawed —both in its intent and content. The Griswold vs Alaska case
referenced in the ordinance resulted from a conflict of interest surrounding zoning in Homer. In reviewing the
Homer code, it states "recognizing Homer is a small community, with a limited number of people interested in
serving as community leaders. It is not the intent of this chapter to set unreasonable barriers that will serve
only to deter aspirants from public service." This is similar in intent to AS 39.52.110. that states: " in a
representative democracy, the representatives are drawn from society and, therefore, cannot and should not
be without personal and financial interests in the decisions and policies of government" Kodiak is also a small
community. This new ordinance as proposed creates a barrier to present and future potential Assembly
candidates.
In reviewing both the Sitka and Fairbanks codes concerning conflict of interest, they take the discussion
further, stating that "code shall be interpreted and applied in a manner that distinguishes between minor and
insubstantial conflicts that are unavoidable in a free society and those conflicts that are substantial and
material. AS 39.52.110 states; Unethical conduct is prohibited, but there is no substantial impropriety if, as to
a specific matter, a public officer'spersonal or financial interest in the matter is insignificant, or of a type that
is possessed generally by the public or a large class of persons to which the public officer belongs; or if action
or influence would have insignificant or conjectural effect on the matter
The "Substantial financial interest" definition in the proposed ordinance does nothing to further clarify
"substantial financial interest". The borough's attorney writes "there is no bright line test according to which
the Borough is required to determine Assembly member's financial interest in the outcome of an action."
Furthermore, the attorney concludes "Each Assembly member is vested in the primary duty for monitoring his
or her conflicts of interest, according to the procedures prescribed by Alaska law."
Both the Fairbanks and Sitka ordinances incorporate caveats that expand the definition of financial interest
and are directly aligned with existing Alaska statutes. I would suggest that the Assembly postpone further
action on this ordinance until you have an opportunity to review how similar communities handle this issue.
The Sitka ordinance is a good example of appropriate language to deal with conflict of interest. There is no
immediate threat to current proceedings that cannot be accommodated by your existing ordinance. The fact
that this is a contentious issue should serve to alert the Assembly that this ordinance in its intent and content
is materially flawed.
Finally, I would remind the Assembly of existing KIB code 2.25.030 that mandates that all Assembly members
must affirm in writing that they will "honestly, faithfully, and impartially" perform the duties of their office. As
citizens of this community, we would expect you to adhere to this standard in considering this ordinance
which must be postponed until it accurately reflects the needs of Kodiak.

"Substantial financial interest" means an expectation of receiving a non -trivial pecuniary
or material benefit or loss. A person who has an ownership interest, or is a director, officer or employee
of an organization or entity has a substantial financial interest in regard to that organization, and may
not vote on contracts, agreements, or other actions involving that organization.
Mister Mayor and members of the Assembly,
My name is Larry Van Daele, and this evening I'd like to offer some thoughts about the "substantial
financial interest" ordinance before you at this meeting.
1) The ordinance refers to anyone who receives "non -trivial pecuniary (pe-
KUOONE-ery) or material benefit or loss"
What does "non -trivial" mean in the real world? Do you follow the standard set by APOC or set new
standards? Whatever you decide, it should be defined. Is "pecuniary" the best word to use
here? Wouldn't be better to use a more commonly understood word like "financial" or "monetary"?
2) It also says that anyone who has an ownership interest in an organization
cannot vote on any actions involving that organization.
This makes sense and is consistent with state law, but it should note the $5,000 value cited in Statute.
3) It says that anyone who is a director or officer of an organization cannot
vote on any actions involving that organization.
This makes sense to a degree, but you need to define what an "officer" is and what an "organization"
is. Does that include all members or just the Chairman, Vice Chair, Secretary and Treasurer? This might
also suggest that Assembly Members who are also on the Fish and Game Advisory Committee or the
Federal Regional Advisory Committee may be considered "officers" on these committees because they
are voting members, thereby making them ineligible to vote on borough decisions impacting fish,
wildlife or their habitat.
4) It says that anyone who is an employee of an organization cannot vote on
any actions involving that organization.
This seems to go way beyond the intent of State Statutes. This means that anyone who works for the
Coast Guard cannot vote on issues involving anything to do with search/rescue, cooperative police/fire,
land agreements/trades, etc. Anyone working as a flag -person for Brechan cannot vote on any gravel
extraction or road issues. Anyone who works as a consultant or lobbyist for a fisheries group cannot
vote on any fishery related issue. Anyone who is a professional tree -cutter cannot vote on issues that
may involve timber harvest or land clearing (e.g. any land disposals). It just keeps the debate going at
the same level it is now, or it raises the bar so high that most votes will have at least one or more
member conflicted out.
5) Nowhere in this definition is there mention of "immediate family
members" nor any mention of verbal ethics disclosures at assembly
meetings.
Ethics disclosures for Executive Branch Board members require inclusion of their immediate family, and
they read ethics disclosures into the public record at meetings. It would be appropriate to do the same
for the Borough.
As written, this ordinance has many unforeseen complications and
consequences and still needs a lot of work.
I see a couple options:
1) If you want to create a "bright line" you will need a policy more complex
and detailed than this one,
Or...
2) You could continue to adhere to current state guidelines and trust each
other and your mayor to make fair and informed decisions.
Whatever you do, make sure it addresses the entire assembly and all types of
conflict equally.

Thanks to you and the borough employees for your hard work keeping our Island community functional.
Sorry that family obligations preclude my attending the meeting in person.
After reading reports and opinion pieces in the paper, friend's notes from meetings; there is a consistent
minority of the assembly "feel" there is a problem of conflict of interest with Mr. Van Dalle. I would
ask: if the arguments presented defining "conflict of interest" evolve from a difference in philosophy
rather than factual deduction?
I read my good friend Becky Skinner's (and others) quoted comments in the Mirror about the Sitka
conflict of interest ordinance, Thought that might stimulate a positive solution, so I called the former
Mayor of Sitka, John Stein, for a chat. After reading the entire document there apparently is more to
the ordinance then 1st referenced. If the assembly chooses to use their ordinance I would strongly
suggest that you use the whole document and not part of it! It has a much broader context, logic and
definitive structure.
If only the "suggested in portion" of the Sitka ordinance had been in effect in Kodiak during 1964-65
would we have a borough assembly now? We probably would not! Here's why:
Though I was off at college, friends at the time told me that in 64-65, Roy Madsen ( the City Attorney)
the Mayor, City Manager and most of the City Council actively pursued and successfully established the
s Borough in 1965. With Madsen's legal background and the City's enthusiasm, they worked out a lot
of the existing codes and administrative structures in the process. Roy was the respected attorney for
both government's for 10 years! (Before he passed away, Roy asked me to clarify these points to you). I
believe that the 2 governments even decided to meet on different days to facilitate cross participation
and communications.
Though my brain is "aged and foggy" it seems like when ever we have had a city employee, school
employee or superintendent etc., involved at the assembly; communication's and effectiveness has
been more productive and efficient! Why has this become a problem now? Perhaps our island
community should follow Sitka's lead and have an single local government?
It is true, is it not, that even if the "definition to exclude participation in the assembly based on
employment/conflict of interest" is implemented, any one presently serving would continue until thier
term is up?
With the greatest respect for differing points of personal philosophy; the recent words of my old
conservative chum, Scott Arndt seem appropriate: "This whole discussion has been a bit asinine" 111
Please get on with the program of expedient and responsible government and let philosophical
differences be settled at the ballot.

only one minor technical issue with respect to the citation to Griswold; specifically, if the Assembly thought it best to

Legal Effects
As a general rule, we limit our comments and recommendations regarding proposed ordinances that we have been
asked to review to whether they may be properly enacted, and whether the proposed action is enforceable as a matter
of law. However, we believe that it is also important to consider whether a proposed ordinance's effects are consistent
with what we understand to be the intended purpose.
Both the Staff Report and the proposed ordinance's enabling clauses seem to explain that the underlying purpose for
the proposed amendment to KIBC 2.35.020 is to create a bright -line test that assists both the Assembly and other
municipal officials more efficiently, consistently, and fairly enforce applicable prohibitions against impermissible
conflicts of interest.
We think that the proposed amendment would achieve a clear bright -line standard with respect to those municipal
officials who have ownership interests in, or are directors, officers, or employees of entities that are the subject of
official Borough business. We do not believe that it is as clear that the proposed amendment would create a similar
bright -line standard for conflicts of interest that arise in other instances, due to the use of the term "non -trivial
pecuniary or material benefit or loss." In our opinion, the determination of whether a benefit is or is not trivial may
remain a highly subjective inquiry. We do not offer any opinion regarding the Borough's conflicts of interest policy, but
simply wish to confirm that is the Assembly's desired outcome.

VOICE VOTE ON MOTION.
KIBC 2.30.030 A.... Meetings shall adjourn at 10:30 p.m. unless the time is extended by
a ma'ori of the votes to which the assembly is entitled. No meeting shall be extended
beyond 11 p.m., unless extended by a two-thirds vote of the assembly, except the
meeting shall be extended to set the time and place for resumption of the meeting.

Shane Levesque noted that abstaining is different from refusing to vote.
If an Assembly member was excused by the Assembly to abstain, the minutes should reflect that he
abstained.
The "� is different from abstaining. Refusal is for someone who refuses to vote and not excused by
the Assembly. The vote for someone who refuses to vote goes to the prevailing side that carried the
question.
Kodiak Island Borough Code Regarding 2.30.070
F. Voting.
1. All assembly members present shall vote unless the assembly for special reason permits a member to
abstain, except no assembly member may vote on a question in which he has a substantial financial
interest. All motions to excuse a member shall be made before the call of "ayes" and "noes" is
commenced, and any member requesting to be excused from voting may make a brief statement of the
reasons for making such a request, and the vote shall be taken without further debate.
2. If a member _ to vote, the clerk shall record a vote for the prevailing side. The "prevailing side"
is the side that carried the question and Is described as follows:
a. If the question passed, having received the affirmative votes of the quorum, that is the prevailing
side; or
b. If the question failed, having not received the affirmative votes of the quorum, that is the
prevailing side.

PRESENTED The Employee Of The Quarter Award For The Fourth Quarter Of 2017 To Carl Royall,
Treatment Plant Operator At The Leachate Treatment Plant.
PRESENTED A 15-Year Longevity Award To Kirsten Galliher, Appraiser Technician In The Assessing
Department; And ANNOUNCED That 5-Year Longevity Awards Were Earned By Elliot Blacha,
Maintenance Mechanic in the Engineering/Facilities Department and Matt Gandel, Project Manager In
The Projects Office Who Were Unable To Attend.
PROCLAIMED The Month Of January 2018 As National Stalking Awareness Month And Applauded The
Efforts Of The Many Victim Service Providers, Police Officers, Prosecutors, National And Community
Organizations, And Private Sector Supporters For Their Efforts In Promoting Awareness About Stalking.
