A RESOLUTION OF THE ASSEMBLY OF THE KODIAK ISLAND BOROUGH APPROVING A
LEASE OF THE KODIAK ISLAND HOSPITAL TO PROVIDENCE HEALTH & SERVICES
ALASKA
WHEREAS, KIB is the owner of certain real property consisting of a Health Care Facility
together with improvements located thereon, currently known as Providence Kodiak Island
Medical Center, (hereinafter referred to as "Hospital');
WHEREAS, the KIB, in the interest of sound fiscal management and to ensure the continued
operation of the Hospital in a professional and efficient manner, has had a lease agreement with
Providence since April 21, 1997, for Providence to lease and operate the Hospital; and
WHEREAS, Providence owns and operates a number of health care facilities, that are
operated in keeping with its philosophy, mission and values; and
WHEREAS, Providence and KIB have enjoyed a collaborative relationship during the
preceding 20 years; and
WHEREAS, Providence has a strong track record of providing access to high quality health
care services to Kodiak Island residents; and
WHEREAS, Providence desires to continue to lease the Premises from KIB, subject to the
terms and conditions contained herein; and
WHEREAS, the assembly is authorized by the provisions of the Kodiak Island Borough Code
of Ordinances 18.40.020 to approve, by resolution, a negotiated lease for a period not to exceed
twenty - five (25) years to any non - profit corporation;
NOW, THEREFORE, BE IT RESOLVED BY THE ASSEMBLY OF THE KODIAK ISLAND
BOROUGH that:
Section 1: The lease of the Kodiak Island Hospital and Care Center to Providence Health &
Services - Washington d/b/a Providence Health & Services Alaska, a Washington
non-profit corporation, is hereby approved on the terms and conditions of the
Lease Agreement.

45 Section 2: The Manager, or his designee, is authorized to execute the Lease Agreement
46 and all other documents required for the completion of this transaction.
