I, DEVEN J. MITCHELL, the duly appointed Executive Director of the Alaska
Municipal Bond Bank (the "Bond Bank"), DO HEREBY CERTIFY that I have received from
the Municipality of Skagway, Alaska (the "Municipality"), the Municipality's General
Obligation Refunding Bond, 2016, in the total principal amount of $3,335,000 (the "Refunding
Bond"), dated as of the date hereof, on this 3rd day of November, 2016.
In exchange for the Refunding Bond, I have delivered to the Municipality its original
Municipality of Skagway General Obligation Bond, 2008 (the "Original Bond") and $4,247.51
representing a portion of the proceeds of the Bond Bank's General Obligation and Refunding
Bonds, 2016 Series Three. The Bond Bank hereby consents to the cancellation of the Original
Bond, and to the extinguishing of all rights, duties and obligations of the Municipality and the
Bond Bank arising thereunder, effective as of this 3rd day of November, 2016f / ,

I, HEATHER RODIG, the duly appointed Treasurer of the Municipality of Skagway,
Alaska, hereby certify that I have on this date delivered to the Bond Bank the Refunding Bond
and have received in exchange therefor the cancelled Original Bond and the funds described
above.
