I, DEVEN J. MITCHELL, the duly appointed Executive Director of the Alaska
Municipal Bond Bank (the "Bond Bank"), DO HEREBY CERTIFY that :I have received from
the City and Borough of Sitka, Alaska (the "City"), the City's General Obligation Refunding
Bond, 2016, in the total principal amount of $2,385,000 (the "2016 Bond', dated as of the date
hereof, on November 3, 2016,
In exchange for the 2016 Bond, I have delivered to the City its original General
Obligation Refunding Bond, 2007 (the "2007 Bond") and $10,815.49, representing a portion of
the proceeds of the Bond Bank's General Obligation and Refunding Bonds, 2016 Series Three.
The Bond Bank hereby consents to the cancellation of the 2007 Bond, and to the extinguishing
of all rights, duties and obligations of the City and the Bond Bank arising thereunder, effective as
of November 3, 2016.

I, JOHN SWEENEY III, the duly appointed Chief Finance and Administrative Officer of
the City and Borough of Sitka, Alaska, hereby certify that I have on this date delivered to the
Bond Bank the 2016 Bond and have received in exchange therefor the cancelled 2007 Bond and
the funds described above.
