I, Joseph N. Levesque, certify that I am the duly appointed and acting Borough Attorney
of the Aleutians East Borough, Alaska (the "Borough"), and that I am authorized to execute and
deliver this certificate and further certify on behalf of the Borough as follows:
1. This certificate is delivered in connection with the issuance of the $17,155,000
principal amount General Obligation Refunding Bond, 2016 (the "Bond") of the Borough.
2. No litigation of any nature is now pending, or, to my knowledge, threatened,
affecting the corporate existence or boundaries of the Borough or the title of the present officers
to their respective offices; and no authority or proceeding for the issuance of the Bond has been
repealed, revoked or rescinded.
3. No litigation of any nature is now pending, or, to my knowledge, threatened
seeking to restrain or enjoin the issuance, sale or delivery of the Bond, or the right of the
Borough to levy and collect taxes pledged or to be pledged to pay the principal of and interest on
the Bond, or the pledge thereof, or in any way contesting or affecting the validity or
enforceability of the Bond or the loan agreement between the Borough and the Alaska Municipal
Bond Bank relating to the Bond, as amended, or contesting the power of the Borough or its
authority with respect to the Bond.
4. No litigation of any nature is now pending, or, to my knowledge, threatened
against the Borough involving any of the property or assets of or under the control of the
Borough, which, individually or in the aggregate, involves the possibility of any judgment or
uninsured liability which may result in any material change in the revenues, properties, or assets,
or in the condition, financial or otherwise, of the Borough.
