WHEREAS, the Contractor has entered into a Contract, (hereinafter referred to as "Prime Contract"),
dated the 201h day of September , 2013 with US Fish and Wildlife Services (hereinafter called
the "Owner"), for the construction of Kodiak National Wildlife Replacement Triplex Design/Build.
F13PCO0250 (hereinafter called the "Project"), at Kodiak, Alaska; and
WHEREAS, copies of the Prime Contract are on file in the office of the Contractor and are available for
review by the Subcontractor; and
WHEREAS, the Subcontractor desires to perform a portion of such Prime Contract.
NOW THEREFORE, for and in consideration of the mutual covenants and agreements contained
herein, Contractor and Subcontractor agree as follows: (In case the Subcontractor is a firm or
corporation, the singular pronoun "he", "his", "your" or similar used herein shall be read accordingly.)
Section 1 CONTRACT DOCUMENTS
The term "Prime Contract" as used herein includes the contract and all the general, supplementary
and special conditions, drawings, specifications, amendments, modifications and all other documents
forming or by reference made a part of the contract between the Contractor and Owner.
Subcontractor, by signing this Agreement, acknowledges that it has independently assured itself that all

To the extent pennitted by applicable law, Subcontractor specifically and expressly waives any
Immunity that may be granted it under the Washington State Industrial Insurance Act, Title 51 RCW.
Further, the indemnification obligation under this subcontract shall not be limited in any way on the
amount or type of damages, compensation or benefits payable to or for any third party under Worker's
Compensation Acts, Disability Benefits Acts, or other Employee Benefits Acts; provided
Subcontractor's waiver of Immunity by the provisions of this paragraph extends only to claims against
Subcontractor by Contractor, and does not exclude, or extend to, any claims by Subcontractor's
employees directly against Subcontractor. The undersigned hereby acknowledge that this agreement has

Attached, please find our Phase I Environmental Site Assessment (ESA) for the property located at
512 Mill Bay Road, Kodiak, Alaska (Site). This ESA presents the findings of our document review,
site walk-through and interview reviews, as well as our conclusions and recommendations. The
information provided in this Phase 1 ESA should also be coupled with the Hazmat Survey conducted
by EHS-Alaska, under a separate report. The scope of services was performed and this ESA was
prepared in accordance with URS' proposal, Tasks 1-7 dated August 30, 2012.
