With this letter the Kodiak Island Borough wishes to exercise our option for the First year
extension to your existing Elevator Maintenance Contract until .lune 30, 2015. The same
provisions of the original contract will remain in effect.
Please review the following insurance certificates: General liability, Worker's Comp, and
Automobile Insurance with the Borough named as "additional insured;" to make sure they are
current with the limits outlined in the original agreement. After review of said documents please
provide the Kodiak Island Borough with a copy of the documents for our records.

OWNER. GENERAL CONTRACTOR
AGREEMENT
THIS AGREEMENT, rade this 4'h day of June, A.D., 2013, between the Kodiak Island Borough.,
acting by and through its Borough Manager, party of the first part, and Arctic Elevator Company
LLC of Anchorage, Alaska, a Corporation, incorporated under the laws of the State of Alaska, its
successors and assigns, part` of the second part, hereinafter called the Contractor.
WITNESSETH. That the Contractor, for and in consideration of the payment or payments herein
specified and agreed to by the party of the first parthereby covenants and agrees to install the
materials and to do and perform all the work and labor required for any Borough owned building
annual elevator repairs and service for the Kodiak Island Borough, Kodiak, Alaska, for the following
sums, not to exceed 25,000.00 prior to the Borough M anagen or designee's authorization.
1) "Yearly Elevator Maintenance and Inspections three thousand and no/I.OQ $3000.00
2 No charge for all required Full load testing.
3) One Hundred and Ninety Dollars and no/100 ($190.04) an hour for regular time for a
certified technician.
4) All materials provided by the contractor will have ° markup rate.
his contract commences from this l st day of July, 2013 through Jure 30, 2014 with the option to
extend, upon satisfactory performance, determined solely by the Borough Manager, for two 2
additional one 1 year periods upon the offering of the Borough Manager or designee. If the
Borough makes such an offer, the Contractor will have no more than thirty 3 days to accept or
refuse the offer.
The Contractor further covenants and agrees that the entire work shall be done under the
admini stration and to the complete satisfaction of the Kodi ak Island Borough, s . ject to inspection at
all times and approval by any participating agency or the Government of the United Mates of
America, and in accordance with the laws of the State of Alaska and rules and regulations of said
Federal Agency.

performed in the best and most workmanlike manner and that all and every of said materials and

asserted, claimed or recovered against or from the Kodiak Island Borough, its elected and appointed
officials, employees, volunteers or others working on behalf of the Kodiak Island Borough, by
reason ofpersonal injury, including bodily injury or death and/or property damage, including loss of
use thereof, which arises out of or is in any way connected or associated with this ,Agreement.
Without 11I ting the Contractor's indemnification, it is agreed that the Contractor will purchase, at
his own expense and maintain in force at all times during the performance of services -under this
Agreement, the following policies ofinsurance. Failure to maintain insurance may, at the option of
the Borough Manager, be deemed Defective Work and remedied in accordance with the Agreement.

If the Contractor's .policy contains higher limits, the Borougb shall be entitled to coverage to the
extent of such higher limits, As a condition of award, certificates of m' s .rance must be famished to
the Borough Manager.

cancellation, non -renewal or a material charge in the policy. proof of insurance is required of the
following:
A. Workers' Compensation Insurance if applicable
The Contractor shall provide and maintain, for all employees of the Contractor engaged i
work under this Contra t, Workers' Compensation Insurance as required by AS 2 3.3 0 - 045.
The Contractor U be responsible for Workers' Compensation Insurance for any :
subcontractor who provides services under this Contract. This coverage must include
statatory coverage for States in which employees are engaging In work andemployer's
liability protection riot less than $100,000-00 per person, 10,000.00 per occurrence.
B. Comprehensive (Commercial) General Liability Insurance with coverage limits not less
tau $1,,000,000.00 combined single limit per occurrence and annual aggregates where

Insured" under all liability coverage listed above.
. Comprehensive Automobile Liability Insurance covering all owned hired and non -owned
vehicles and with coverage limits not less than $100,000.00 per person, $ 3 oo 000.00 per
occurrence bodily injury, and $ 0,000.00 property damage.
The Contractor hereby agrees to receive the prices set forth in the proposal as fall compensation for
furnishing all the materials and labor which may be required in the prosecution and completion f
the whole work to be done under this Agreement, and in all respects to complete said Agreement to
the satisfactiong
of the Borough Manager.

It is further distinctly agreed that the said Contractor shall not assign this Agreement, or any part
thereof or any right to any of the ironies to be paid hirn herewider, nor shall any part of the work be
done or materials famished under this Agreement.
Payment for services rendered under this Agreement shall be made by the Kodiak Island Borough

Elevator Maintenance and Inspection
The Kodiak sla .d Borough (KIis seeking quotations to provide all labor, materials and
certifications for Elevator Maintenance and Inspections of the following elevator:

The mai teneaice and inspections must be performed by trained personnel directly employed and
supervised by the vendor and must include quarterly lubrication, inspection., repair, adjustment,
and or replacement of the follovAng parts:
Pump motors, pumps, valve, belts, pulleys, cylinder packing, above ground plunger and
cylinder, generator set and brushes.
Controller components- relays, capacitors, resistors, rectifiers, power supplies,
transformers, contacts, leads, coils, solid state equipment, microprocessors, selector
components, selector tape and cable, mechanical and electrical driving components.
Hoisting machine, cables, compensating chains, generator, regulator, gears, bearings,
brake & lining, and drive sheave,
Car door operator, door rollers, locks, hangers, spirators, gibs, guides, sash weights, sight
cards, and car doer protection.
Vol' Safety switches, load weighing switches, hoistway switches, governors, ovemor
components,, tension sheaves,, cor pensati sheaves, plat. ones, car and counterweight
safety do ic,s, counterweight guides, roller .guides, counterweight sheaves.
Vol" Fixtures, car and hall buttons, carr and hall lantern, position indicators, keyed switches,
latups, and emergency light and bell.
Inspections, annual and five-year full road test as required by ANSI .A. - 17.1 Safety Code
for Elevators.
During the contract the vendor Will provide new replace-ment parts from the original equipment
manufacturer if available. Obsolete or unavailable OEM parts must be replaced vAth the highest
quality vendor parts available. Minor consumable parts can be stocked on the job.
The vendor must also stock minor parts specific to our elevators hi their warehouse. Major parts
not stocked must be shipped next day air when reired.r
The contract start date will begin 0 7/0 120 10 and will continue thereafter until June 3 O, 20 1
mess the Borough requests the option to renew annually for two additional years.
This agreement i s meant for minor repairs not .major contract work and will not exceed $2,00 o
any single event.
