SUMMARY STATEMENT
Proposals were solicited for Professional Services to
perform reinspection and inspections of Kodiak Schools to

(AHERA). This project will update AHERA Management Plans in
18 schools and create plans for 4 structures that are
currently being utilized for instruction that do not have
plans. Recommend award of the AHERA Management Plans
contract to Arctic Slope Consulting Group, Inc. of
Anchorage, Alaskla in an amount not to exceed $24,892. This
will be a cost plus contract.

Proposals were solicited for professional services to

reinspections and inspections in Kodiak schools. The
proposals were evaluated by myself, Assistant Superintendent
Betty Walters and School District LEA for the AHERA program
in the schools, Robert Tucker. We ranked the firms in the
following order based on the attached evaluation criteria:

AGREEMENT FOR ENGINEERING SERVICES
THIS AGREEMENT made this 10th day of January, 1992, by and
between the Kodiak Island Borough and Arctic Slope Consulting Group,
Inc., hereinafter called the Engineer.
W I T N E S S E T H:
That the Kodiak Island Borough and Engineer for the consideration
hereinafter recited agree as follows:
1. Project The Engineer agrees to and performs all services as
necessary for the professional completion of the project which shall
be defined by the "Scope of Work" attached hereto as Exhibit "A".and
any additional specifications and addenda thereto which are signed by
the parties or incorporated herein as part of this Agreement, which
documents are hereinafter referred to as the Contract Documents. The
services provided shall be of professional quality, to the
satisfaction of the Project Manager.
2. Job Commencement and Performance. (a) The Engineer shall
commence work on this project on the 13th day of January, 1992. The
start-up date may be changed for good cause.
(b) The Engineer shall have substantially completed this project
on or before the 15th day of March, 1992, which may be extended for
good cause.
3. Project Manager. The project manager shall be the Director
of the Engineering and Facilities Department of Kodiak Island Borough.
4. Compensation. The Kodiak Island Borough agrees to pay to the
Engineer as compensation for services:
(1) A professional fee of $ ; or
(2) A sum equal to the Engineer's time expended at $
per hour; plus
* per proposal dated 11/19/91 attached
(3) Reimbursable expense in the amount expended.
(4) Not to Exceed Fee & Reimbursables $ 24,892.00.
5. Payment. Payment shall be made at monthly intervals subject
to receipt by the Kodiak Island Borough of invoices for payment from
the Engineer specifying that he has performed the services and is
entitled to the amount requested under the terms of this Agreement.
The monthly payments due shall be equal to the percentage of services
completed, or the hours expended, plus reimbursable expenses, as of
the date of the request. The Engineer shall prepare monthly invoices
and progress reports which clearly indicate the progress to date and
the amount of compensation due.
The Engineer shall provide any additional information which the Kodiak
Island Borough may reasonably require in support of any payment
request. All requests for payment shall be for work completed unless
otherwise agreed to by the Kodiak Island Borough. Monthly invoices
shall be delivered to the Kodiak Island Borough no later than the end
of the month and shall be paid within thirty (30) days from the date
of the invoice unless the Kodiak Island Borough shall notify the
Engineer in writing of his reason for not making payment of the sums
requested.
6. Indemnification. The Engineer specifically obligates himself
to the Kodiak Island Borough in the following respects to wit: (i) to
indemnify the Kodiak Island Borough against, and save him harmless
from any and all claims, suits, or liability, on account of any act or
omission of the Engineer, or any of his officers, agents, employees or
servants; (ii) to pay for all materials furnished and services
performed under this Agreement.
7. Claims. (a) Partial payments for work performed under this
Agreement will equal the value of the work done by the Engineer at the
agreed price, less the sum of previous payments as provided above;
provided that the Engineer is not indebted to the Kodiak Island
Borough or anyone else for professional services, fringes, taxes,
supplies, materials, equipment, rental or other proper charges against
the services covered by this Agreement, but if he is, the amount of
such indebtedness may be deducted by the Kodiak Island Borough from
any payment or payments made under this provision. (b) The Engineer
must notify the Kodiak Island Borough or his agent of any and all
claims for costs in excess of the contract amount within ten (10) days
of incurring such cost.
8. Chancres and Modifications. (a) The Kodiak Island Borough
may, at any time by written order signed by the Project Manager of the
Kodiak Island Borough, make changes in the specifications for services
hereunder or in the project schedule. Any additions or reductions to
the amount of this Agreement resulting from authorized changes whether
initiated by Engineer or the Kodiak Island Borough must be agreed upon
in writing by both parties hereto, subject to the contract and sale
provisions of the Kodiak Island Borough Code. (b) The cost or credit
to the Kodiak Island Borough resulting from a change in the services
or in the project schedule shall be determined as follows:
(1) by mutual acceptance of a lump sum properly itemized and
supported by sufficient substantiating data to permit
evaluation: or
(2) by the hourly fees stated in the contract documents or
subsequently agreed upon.
9. Prosecution of Work. The Engineer shall prosecute the work
in a prompt and diligent manner whenever such work or any part of it
becomes available, in order to promote the general progress of the
entire project. Upon written request by the Kodiak Island Borough,
the Engineer shall furnish to the Kodiak Island Borough such evidence
as the Kodiak Island Borough may require relating to the ability of
the Engineer to complete the project.
10. Delays. In the event the Engineer's performance is delayed
or interfered with by acts of the Kodiak Island Borough, or any other
justifiable cause beyond the control of the Engineer, he may request
an extension of time for the performance of same.
11. Approvals. The Engineer shall obtain and pay for all
permits, licenses and official inspections made necessary by his work,
and shall comply with all laws, ordinances and regulations bearing on
his work and the conduct thereof.
12. Stop Work. (a) If the Engineer fails to correct defective
services as required herein or persistently fails to carry out the
project in accordance with the contract documents, the KodiakIsland
Borough, by a written order signed personally or by an agent may order
the Engineer to stop work, or any portion thereof, until the cause for
such order has been eliminated; however, this right of the Kodiak
Island Borough to stop work shall not give rise to any duty on the
part of the Kodiak Island Borough to exercise this right for the
benefit of the Engineer or any other person or entity. (b) If the
Engineer defaults or neglects to carry out the work in accordance with
the contract documents and fails within fourteen (14) days after
receipt of written notice from the Kodiak Island Borough to commence
and continue correction of such default or neglect with diligence and
promptness, the Kodiak Island Borough may, after seven (7) days
following receipt by the Engineer of an additional written notice and
without prejudice to any other remedy it may have, make good such
deficiencies but use its best efforts to mitigate the cost of curing
such default. In such case an appropriate change order shall be
issued deducting from the payments then or thereafter due the Engineer
the cost of correcting such deficiencies, including compensation for
the Project Manager's additional services made necessary by such
default, neglect or failure. If the payments then or thereafter due
the Engineer are not sufficient to cover such amount, the Engineer
shall pay the difference to the Kodiak Island Borough.
13. Time. (a) Definitions:
(1) Unless otherwise provided, the contract time
is the period of time allotted in this Agreement for
substantial completion of the project.
(2) The date of commencement of the project is
the date established in this Agreement as set forth
above.
(3) The date of substantial completion of the
project or designated portion thereof is the date
certified by the Project Manager when the project is
sufficiently complete, in accordance with the contract
documents, so the Kodiak Island Borough can utilize the
project or designated portion thereof for the use for
which it is intended.
(4) The date of final completion is the date that
the Kodiak Island Borough certifies either orally or in
writing that the project is finished.
(5) The term day as used in the contract
documents shall mean calendar day unless otherwise
specifically designated.
(b) All time limits set forth herein are of the
essence of this Agreement.
14. Payments withheld. (a) The Kodiak Island Borough may
withhold payments from the Engineer for any of the following reasons:
(1) The application for payment misstates the
amount of services completed:
(2) Defective services not remedied;
(3) Third party claims filed or reasonable
evidence indicating probable filing of such claims;
(4) Failure of the Engineer to make payments
properly to consultants and subcontractors or for
Professional services, materials or equipment;
(5) Reasonable evidence that the project cannot
be completed for the unpaid balance of the contract
sum;
(6) Reasonable evidence that the project will not
be completed within the contract time; or
(7) Persistent failure to perform the services in
accordance with the contract documents.
15. Final Completion and Final Payment. Upon receipt of
o
written ntice that the project is ready for final inspection and
acceptance and upon receipt of a final application for payment, the
Kodiak Island Borough will cause a final review to take place. If the
project is totally complete the Kodiak Island Borough will cause a
final certificate of payment to issue and make payment to the Engineer
within ten (10) days of the date that the project was certified as
finally complete on the conditions set forth below.
16. Termination and Default. (a) If the Engineer is
adjudged a bankrupt, or if he makes a general assignment for the
benefit of his creditors, or if a receiver is appointed on account of
his insolvency, or if he refuses or fails, except in cases for which
extension of time is provided, to supply enough properly skilled
professionals or proper services, or if he fails to make prompt
payment to subcontractors or for materials or labor, or persistently
disregards, laws, ordinances, rules, regulations or order of any
public authority having jurisdiction, or otherwise is guilty of a
violation of a provision of this Agreement, then the Kodiak Island
Borough may, without prejudice to any right or remedy and after giving
the Engineer seven days' written notice, terminate the employment of
the Engineer and take possession of all materials and documents
prepared by the Engineer in connection with the project, and may
finish the work by whatever method he may deem expedient. In such
case the Engineer shall not be entitled to receive any further payment
until the work is finished. (b) If the unpaid balance of the
contract sum exceeds the costs of finishing the project, including
compensation for the Project Engineer's additional services made
necessary thereby, such excess shall be paid to the Engineer. If such
costs exceed the unpaid balance, the Engineer shall pay the difference
to the Kodiak Island Borough. The amount to be paid to the Engineer
or to the Kodiak Island Borough, as the case may be, shall be
certified by the Project Manager, upon application, and this
obligation for payment shall survive the termination of the contract.
17. Assignment. This Agreement shall not be assigned by
operation of law or through negotiated agreement by the Engineer
without the written permission of Kodiak Island Borough. However,
subcontracting portions of the project to be performed pursuant to
this Agreement shall not be considered an assignment for the purposes
of this Agreement.
18. No Waiver. Failure of the Kodiak Island Borough or the
Engineer to enforce a specific section of this Agreement against one
another or to enforce a particular demand of the Kodiak Island Borough
or the Engineer made pursuant to the terms of this Agreement shall not
effect a waiver of any of the Kodiak Island Borough's or the
Engineer's rights and powers as set forth in this Agreement.
19. Written Notice. Written notice shall be deemed to have
been duly served if delivered in person to the individual or member of
the firm or entity or to an officer of the corporation for whom it was
intended, or if delivered at or sent by registered or certified mail
to the last business address known to him who gives the notice.
20. Integration. The Agreement and the referenced
documents represent the entire and integrated agreement between the
parties hereto and supersedes all prior negotiations, representations,
or agreements, either written or oral.
21. Notice. Written notice pursuant to this Contract shall
be deemed delivered to either party if hand delivered to a
superintendent or officer of a party or mailed to the parties at the
following addresses:

Re: AHERA Management Plans
Gentlemen:
Arctic Slope Consulting Group, Inc. (ASCG) is pleased to submit a proposal for the AHERA
inspections and reinspection for the Kodiak Island Borough schools. We have evaluated the
RFP and its technical requirements and looked within our organization to determine if we have
the capacity to accomplish the project in a timely manner. If ASCG is selected for this project,
we will start scheduling immediately upon notice to proceed.
ASCG has performed numerous AHERA surveys and management plans for the Department of
Transportation and Public Facilities, the Department of Health and Human Services, and several
schools here in Alaska. ASCG's key person for this project will be Mr. Tom Tessier. Mr.
Tessier has performed AHERA inspections and prepared management plans for over twelve
school districts, which involve more than 100 schools, throughout the state of Alaska. Mr.
Tessier has not only performed AHERA work but is also certified by the Alaska Department of
Labor to teach asbestos removal classes as well as the EPA to teach the AHERA Inspector and
Management Planner course. In addition to Mr. Tessier, Mr. Bob Perkins, who is a registered
professional engineer, certified industrial hygienist and also an AHERA instructor, will be
utilized to review all survey and laboratory data and oversee the preparation of the final AHERA
documents. Other ASCG personnel that will be involved are Mr. Howard Novakowski, as an
inspector, and an AutoCAD draftsman. ASCG uses AutoCAD release 11 for all floor plans for
the delineation of homogeneous areas, sample locations, functional spaces, and hazardous areas,
if any. All of ASCG's personnel that will be assigned to this project are highly qualified and
experienced in their respective disciplines.
According to the AHERA regulations, one can assume that materials contain asbestos and not
actually sample the suspect material. This can make for an inexpensive and quick survey and
many take this inexpensive approach. However, ASCG does not agree with this philosophy and
does not assume any material to be asbestos -containing but rather take samples for analysis.
Sampling suspect materials is not a siginificant overall cost and it lets the building owner know
exactly where the asbestos -containing materials (ACM) are located so they will not be accidently
disturbed by custodial or maintenance personnel. Additionally, if any renovation work is
scheduled, the owner will already know the locations and extent of the ACM and can provide
the design accordingly. Otherwise, an AHERA certified inspector would be required to make
a special trip to perform sampling prior to the design or renovation work.
ASCG will utilize the laboratory services of Solar Environmental Services (SES) here in
Anchorage. SES is owned and operated by Mrs. Gracita Torrijos, who is an industrial hygienist
and also teaches chemistry at the University of Alaska Anchorage. SES is accredited through
the National Voluntary Laboratory Accreditation Program (NVLAP) #2006, which is an AHERA
requirement for laboratories involved in asbestos analysis in schools and is also a laboratory
participant with the American Industrial Hygienists Association #98518005.
ASCG takes great pride in seeing that all of our projects are performed with the professionalism

Hazardous Materials:
• More than five years in the asbestos industry doing Asbestos Hazard Emergency
Response Act inspections/ management plans, laboratory analyses of air samples using
Phase Contrast Microscopy, bulk sample analyses using Polarized Light Microscopy, and
site-specific air monitoring. Served as the quality assurance coordinator for the Alaska
division of a national company which is certified by the National Voluntary Laboratory

accurate records and reviewing the results of all samples that were analyzed. Assisted
or led asbestos surveys, reports and the development of construction documents for

• Asbestos Hazard Emergency Response Act asbestos survey/inspections: Performed
numerous asbestos surveys which were used in conjunction with the development of
Management Plans approved by the State of Alaska for 12 school districts throughout
Alaska, including: North Slope School District, Ketchikan, Unalaska, Yakutat, Chevak,
St. Mary's, Galena, Tanana, Kotzebue, Copper Center, Sand Point and King Cove.
• Asbestos surveys: Performed numerous asbestos surveys in Anchorage, Alaska for State
and Federal agencies as well as private firms. Several of these include: the State
Legislature and Senate office spaces, Hill building, West Anchorage High School,

Anchorage International Airport, Block 29 for the new courthouse expansion and all of
the properties along the north side of W. 36th Ave. for the widening of the street.
• Microscopy analyses: Analyzed over 3,000 samples for clients involved in the asbestos
industry.
• Certified Instructor: Approved by the Alaska Department of Labor to teach the Alaska
State Asbestos Worker's Certification program, and has certified approximately 300
students including: architects, engineers, industrial hygienists, building owners,
consultants and abatement workers.
• MAPCO Alaska Petroleum: Designer and project manager on the abatement of the
asphalt topping plant in Anchorage. This consisted of on-site inspection for contract
compliance, quality control air sampling and industrial hygiene inspection of the
laboratory analyses of samples.
• Alaska Department of Transportation and Public Facilities and the Department of
Healthand Social Services Asbestos Surveys: Lead asbestos surveyor for the surveys of
the following facilities: McLaughlin Youth Center, Palmer Correctional Center,
Harborview Development Center and the Valdez Communuty Hospital. In conjunction
with these surveys, abatement design, specifications and a final Asbestos Hazard
Emergency Response Act report were provided for the McLaughlin Youth Center. Also
assisted in the Alaska Psychiatric Institute survey and provided the final Asbestos Hazard
Emergency Response Act report.
• Anchorage School District: Designed asbestos abatement project for Wendler Jr. High
School and Williwaw Elementary School. Performed full time inspection for contract
compliance and performed environmental and clearance air monitoring.

• Performed underground storage tanks site assessments for the Alaska Department of
Transportation and Public Facilities at the Palmer Correctional Center and the Alaska
Department of Health & Social Services at Dillingham, Alaska.

The Kodiak Island Borough requests proposals from qualified
firms to provide professional services in performance of
tri -annual reinspection, updating and development of
Management Plans for Asbestos Hazard Emergency Response Act
(AHERA) compliance for asbestos -containing materials in
Schools.
Work will include but is not limited to verification of
inspection and reinspection by the accredited School
District Inspector, recommendation of appropriate response
actions, updating of existing management plans and
development of new management plans for school facilities
owned by the Kodiak Island Borough and utilized by the
Kodiak Island Borough School District.

I. Scope of Work
Services required include:
* Performance of site visitation to review and verify School
District reinspection of facilities with existing management
plans and inspection of facilities requiring management
plans.
* Sampling of suspected Asbestos Containing Building
Materials (ACBMs) as required.
* Review and verification of School District inspector's
assessment and classification of ACBMs and suspected ACBMs
in the school facilities.
* Review and preparation of the reinspections, inspections
and assessments and preparation of written response actions.
* Review and revision of existing AHERA management plans to
include reinspections, assessments and written response
actions.(Triplicate copies of Management plans are required)
* Preparation of AHERA Management plans for facilities that
do not currently have management plans.

III. INSURANCE REQUIREMENTS
The following language refers to the Consultant as
Contractor and Subconsultant as Subcontractor.
The Contractor shall not commence work under this
contract until he has obtained all the insurance
required under this Article and such insurance has been
approved by the Kodiak Island Borough, nor shall the
Contractor allow any Subcontractor to commence work on
his subcontract until the insurance required has been
so obtained. The Contractor shall maintain such
insurance as will protect him from claims under
Workmen's Compensation Acts and other employee benefits
acts for damages because of bodily injury, including
death, to his employees and all others for damages to
property, any or all of which may arise out of the
result from the Contractor's operations under the
Contract whether such operations be by himself or by
any Subcontractor or anyone directly or indirectly
employed by either of them.
Evidence of the following insurance policies will be
furnished to the Kodiak Island Borough prior to award
of the Contract.
1. Workmens Compensation The Contractor shall
procure and maintain, during the life of this
Contract, Workmens Compensation Insurance as
required by applicable State Law for all his
employees to be engaged in the work. In case of
subcontracted work, the Subcontractor shall
provide Workmens Compensation Insurance for all of
his employees engaged in the work.
2. Contractors Liability.
a. All Contractors and Subcontractors shall
procure and maintain, during the life of this
Contract, Public Liability Insurance and
Contractual Liability. The Minimum
Acceptable limits of combined single limit
coverage shall be in the amount not less than
$1,000,000.00.
b. Vehicle and Automobile Liability and Property
Damage Insurance: Limits, coverage to be in
the same amounts specified in paragraph 2a,
above.
C. Subcontractor's Public Liability and Property
Damage Insurance: the Subcontractors shall

You are requested to submit a proposal that includes the
following elements:
* A letter of interest showing your experience with similar
projects and discussing your firm's ability to perform the
project.
* Statement of experience covering the background of your
firm and of the consultants that you propose to retain.
* Resume` profile for each professional who will contribute
work to this project.
* References including current contacts, addresses and
telephone numbers.
* A statement of estimated fees and reimbursable expenses
with a not to exceed limit.

Proposals will be evaluated by the Kodiak Island Borough
Engineering/Facilities staff utilizing the evaluation form
shown in Attachment A. Telephone interviews may be
performed during the evaluation process. Contract award is
anticipated during the regularly scheduled assembly meeting
of December 19 ,1991.

3. Professional Liability. The Contractor, at his
own cost and expense, shall effect and maintain at
all times, during the life of the contract, a good
and sufficient professional liability insurance
policy of not less than $1,000,000.00, protecting
the Contractor against claims of the Kodiak Island
Borough for negligence, errors, mistakes, or
omissions in the performance of the services to be
performed and furnished by the Contractor.
Nothing herein contained shall in any manner
create any liability against the Kodiak Island
Borough on behalf of any claim for labor,
services, or materials , and nothing herein
contained shall affect the liability of the
Contractor or his sureties to the Kodiak Island
Borough or to any workmen or materialmen upon bond
given in connection with this Contract.
B. The Contractor shall furnish certificates issued to the
Kodiak Island Borough showing the type, amount,
effective date, and dates of expiration of policies.
Such certificates shall contain substantially the
following statement:
"The insurance covered by this certificate
will not be cancelled or materially altered
except after thirty (30) days written notice
has been received by the Kodiak Island
Borough"

Evaluation criteria
Each of the following will be scored from 0 to 10.
1. Does this team have the experience necessary to prepare
AHERA management plans?
2. Do project team members have the required certifications
to prepare AHERA Management Plans?
3. Is the firm's present work load and staff consistent with
performing the work?
4. How long have the team members been with the firm and how
much involvement do the principals of the firm have with
performing the work?
5. Total estimated fee and reimbursable expenses.
