RE: Representation Agreement
Dear Aimee:
Thank you for asking me to represent the Kodiak Island Borough (KIB) in relation to:
1. The Alutiiq Heritage Foundation litigation in case number 3KO — 25-184 CI;
2. The Alutiiq Heritage Foundation litigation in case number 3KO — 25-188 CI;
3. The KANA litigation before the Supreme Courtin Case S-18884 and S-18893; and
4. Any remand to the superior court in the KANA litigation.
I understand that Seema Garoutte and you are the authorized representatives of the KIB in
relation to this matter. This letter will serve as a retainer agreement for this matter. I ask that you
return a signed copy of this letter, or responsive email confirming acceptance of its terms, as soon
as convenient.
I -will be handling these matters beginning December 1, 2025, and the hourly rate for my
services is $250.00 per hour. Out of pocket third party -costs for filing fees, travel, and related
expenses will be billed for reimbursement at cost. There will be no separate billing for postage,
copies, or phone calls. Travel will not be charged for travel time separate from time spent actually
working on these matters.
I will not incur any significant costs for consultants ot` rawdl 4enses without conferring
with you in advance. I will plan to invoice matters on a monthly basis for all fees and expenses
described above and you agree to pay the invoices within thirty (30) days from the date of each
invoice. Should a dispute arise as to fees, expenses or costs to be charged, or how they are
calculated, or concerning any act, error, or omission by me, that dispute shall be resolved under
the rules of the Alaska Bar Association or the laws of the State of Alaska.

In litigated matters the Alaska Rules of Professional Conduct require me to notify you about a
party's potential liability for attorneys' fees and costs in litigated cases under Alaska law.
Therefore, it is my duty to advise you that under the law, you may have to pay some or all of the
costs, fees and expenses of your opponent in this case if you do not prevail or if they reject an offer
that turns out to be better than your results at trial. Litigation always involves some uncertainty,
and nothing in this agreement should be construed as a warranty of a particular outcome.
The Bar rules also call for disclosure of professional liability insurance. I maintain professional
liability coverage in the amount of $500,000.00, and will due so throughout the duration of this
agreement.
I generally will retain electronic copies of files, but paper copies will be destroyed upon completion
of a matter. I retain the right to destroy all files in my possession five years after the representation
in this matter ends. Either you or I may terminate this engagement at any time after reasonable
advance written notice. On termination, all fees and costs incurred prior to termination shall be
paid promptly.
I appreciate the opportunity to work with you. If you are agreeable to the terms set forth above,
please execute this document and return it to me.
