Description of Proposed Action: GCI is proposing to decommission our ACS Womens Bay cell site.
Removal of GCI ground equipment, lines and antennas from the cell tower. WIII remove the
our radios and other equipment located at the site.

This Cell Site Property Lease ("Lease") is entered into by and between James A. Peterson and Amy
L. Stohl, a husband and wife ("Lessor"), with an address o� Kodiak. Alaska 99615
("Lessor') and ACS Wireless, Inc., an Alaskan Corporation, ("ACS").
WHEREAS, Lessor is the owner of certain a certain property located

Alaska, 99615 more specifically described in Exhibits A & B, attached hereto and incorporated herein by
reference ("Real Property")
WHEREAS, Lessor is the owner of certain Real Property located at - Kodiak,
Alaska more specifically described in Exhibits A 8 B, attached hereto and incorporated herein by
reference ("Real Property"): and
WHEREAS ACS wishes to lease from Lessor, and Lessor wishes to lease to ACS, that portion of the
Real Property more specifically described as a 1 P x 10' shelter and roof space to place and maintain
a communications facility, within the Real Property, more specifically described in Exhibit A,
P Premises');
NOW THEREFORE, the parties hereby agree to following terms and conditions
1. Term.
1. The term of this Lease shall be ten (10) years, beginning 10/ l05, with options to renew
pursuant to Paragraph 14 of this Lease.
ii. ACS shall have the option to terminate the lease in the event it is unable to secure all of the
necessary permits required to operate Its communications facility, or in the event the site
becomes unsuitable for its Intended purpose. ACS shall give thirty (30) days written notice of
such an event or occurrence.
Ill. ACS shall have the option to terminate the lease upon ninety (90) day's written notice.
2. Payment
L Payment for the leased Premises shall be per month,
and Is due on or before the tsl day of each month during the entire of the tens of this Lease.

it. Lessor shall provide for electricity d meter to the site at their own cost ACS shall pay all
associated recurring electric charges.
3. MIL ACS shall have access to the leased Premises for Installation and operation of cellular
radiotelephone and antennae more specifically set out in Exhibit C attached hereto and for no other
purpose. ACS shall be granted ingress and egress, by whatever vehicular means necessary, to access
to the leased Premises 2417 for installation and maintenance throughout the term of this Lease.
4. Care and Maintenance of the Leased Premises. ACS and Lessor shall use due diligence to avoid
creating any untidy or unsafe conditions In or about the leased Premises, and each party shall
immediately remedy, at its sole cost and expense, any untidy or unsafe condition that it creates or
causes.
5. Reclamation. Upon expiration or termination of this Lease, ACS shall, at Its own cost, remove all its
equipment from Lessor property. Additionally, ACS shall ensure that all debris resulting from said
extrication is removed from Lessor Premises.
8. Ordinances and Statutes. ACS shall comply with all current and future federal, state, and local
statutes, ordinances, and requirements applicable to Bs use of the leased Premises, and Lessor shall
ensure that no activity In violation of any current and future federal, stale and local statutes and
ordinances be tolerated in and upon the leased Premises.
7. Assianment Subllcensing and Successors. ACS shall not assign this Lease without providing
written notice to Lessor pursuant to Paragraph 13 herein. ACS shall not sublet any portion of the leased
Premises without first obtaining the express written consent of Lessor, which consent shall not be
unreasonably withheld. This Lease shall be binding upon and shall Inure to the benefit of the assigns and
successors in Interest to either party.
8. Insurance. ACS shall maintain comprehensive liability insurance, including bodily Injury and property
damage, insuring ACS and Lessor, with minimum coverage of $1 million. The Insurance shall provide for
written notice to either party not less than ten days prior to the effective date of any cancellation or
material change In coverage. To the maximum extent permitted by insurance policies which may be
owned by Lessor and ACS, the parties herein, each for the benefit of the other, agree to waive any and all
rights of subrogation that otherwise may exist under their Insurance.
9. Indemnity. Each Party shall agree to defend, Indemnify and hold harmless, the other Parry, Its
officers, agents, affiliates, subsidiaries, successors, assigns and employees from any and all liability,
workers compensation claims, claims, losses, damages, demands, expenses, actions, proceedings,
causes of action, counts, awards and judgments, and all reasonable expenses incurred in investigating or
resisting the same, included but not limited to reasonable attomeys' fees, and costs, for injury to person
(bait characterized as bodily or emotonal), loss of life or damages to property, arising out of or resulting
from the services performed or required to be performed under this Lease by either Party or anyone
directly or Indirectly employed or contracted by either Party, whether foreseeable or unforeseeable, direct
or indirect, or contributed to by the active or passive negligence or act or omission of either Parry, Its
officers, agents, affiliates, subsidiaries, successors, assigns or employees, when caused wholly by the
sole negligence or willful misconduct of the responsible Party, Bs officers, agents, affiliates, subsidiaries,
successors, assignees or employees.

19, Eminent Domain. If the leased Premises, or any part thereof, or any estate therein, or any other part
of the property materially affecting ACS' use of the leased Premises, shall be taken by eminent domain,
this lease and this Lease shall terminate, effective the date that litre vests under such taking. The lease
fee shall be apportioned as of the termination date, and any lease fee paid for any period beyond that
date shall be repaid to ACS. ACS shall not be entitled to any award for such taking, or any payment in
hou thereof, but shall retain Its right to make a separate calm for any taking of fixtures or improvements
owned by it, and for any other damages that it may suffer as a result of such taking.
1L Remedies on Default. If either parry should default In the payment of the lease fee or In the
performance of any of the other terms and conditions of this Lease, the non -defaulting party may give the
defaulting party written notice of such default. If the defaulting parry does not promptly commence to cure
the default within 30 days and diligently proceed to complete such cure, then the non -defaulting party
may terminate this Lease upon 10 days written nogce. No (allure to enforce any term of this Lease shall
be deemed a waiver of any subsequent breach or default.
gy, Notices. Any notice given to either parry must be malled, first Gass postage prepaid, to the
addresses listed below. Either party may, by written notice to the other, change the address to which
notices must be sent. Any notice given in the manner provided herein shall be effective Me days from
US Postal Service postmark date.

yy Covenant of Quiet Eniovment, Lessor warrants that It is lawfully in possession of the leased
Premises and that It has the fight to grant this lease and to enter into this Lease.
11 Onion to Renew. Provided that ACS is not then in default under this Lease, it shall have the option
to renew this lease for two (2) additional periods of ten (10) years. After that ACS has the option to renew
for additional periods of time pursuant to terms negotiated by the parties. ACS must provide written
notice of its Intention to renew this lease not less than 60 days prior to the expiration.
JL Subordination. This lease and this Lease are and shall be subordinated to any existing and future
hens and encumbrances affecting the leased Premises.
IL Taxes, ACS shall be liable for all business property taxes on the equipment it places on the leased
Premises pursuant to this lease. Lessor shall be responsible for any and all real estate property taxes
incurred for the leased Premises. ACS shall pay any increases in real property taxes occasioned by
improvements placed on the property by ACS upon due notice and proof of increase from Lessor.

17. Entire Aareement This Lease consists of the main agreement, and Exhibit(s) A, B and C. The
foregoing constitutes the entire agreement between the parties conceming the subject matter hereof, and
may be modified only by writing signed by both parties. The rule of construction that an instrument shall
be construed more strictly against the party who drafted the same shall not apply to this Lease. Both
parties acknowledge that they either have, or have had the opportunity, to have this Lease reviewed by
counsel. This Lease shall be construed in accordance with and governed by the laws of the State of
Alaska.
