The Contractor, for and in consideration of the payment or payments herein specified and agreed to by the Borough, hereby covenants and agrees to furnish and deliver all the materials and to do and perform all the work and labor required in the construction of the above - referenced project as bid by the Contractor, which bid and prices named, together with the Contract Documents (as hereinafter defined) are made a part of this Contract and accepted as such. 2. It is distinctly understood and agreed that no claim for additional work or materials, done or furnished by the Contractor and not specifically herein provided for, will be allowed by the Borough, nor shall the Contractor do any work or furnish any material not covered by this Contract, unless such work or materials is ordered in writing by the Borough. In no event shall the Borough be liable for any materials furnished or used, or for any work or labor done, unless the materials, work, or labor are required by the Contract or on written order furnished by the Borough. Any such work or materials which may be done or furnished by the Contractor without written order first being given shall be at the Contractor's own risk, cost, and expense and the Contractor hereby covenants and agrees to make no claim for compensation for work or materials done or furnished without such written order. 3. Payment under this Contract shall not exceed _Seven Thousand, Three Hundred, Eighty Dollars _($_7,380.00_) . The Parties acknowledge that funds for the payment of this contract are subject to the availability of funds lawfully appropriated for that purpose. 4. The Contractor further covenants and agrees that all materials shall be furnished and delivered and all work and labor shall be done and performed, in every respect, to the satisfaction of the Borough, on or before: May 30, 2025 or within _21_ calendar days following the date of notice to proceed. [The Borough's signature below shall constitute notice to proceed.] It is expressly understood and agreed that in case of the failure on the part of the Contractor, for any reason, except with the written consent of the Borough, to complete the furnishing and delivery of materials and the doing and performance of the work before the aforesaid date, the Borough shall have the right to deduct from any money due or which may Contract No. FY2025-63 Landfill Boundary Brush Clearing Pagel of 3 CPQ` become due the Contractor, or if no money shall be due, the Borough shall have the right to recover Liquidated Damages as described in the Special Conditions for each calendar day elapsing between the time stipulated for achieving substantial completion of an individual phase and the actual date of completion of that phase in accordance with the terms hereof, such deduction to be made, or sum to be recovered, not as a penalty but as liquidated damages. Provided, however, that upon receipt of written notice from the Contractor of the existence of causes over which the Contractor has no control and which must delay furnishing of materials or the completion of the work, the Contracting Officer may, at his or her discretion, extend the period specified for the furnishing of materials or the completion of the work, and in such case the Contractor shall become liable for liquidated damages for delays commencing from the date on which the extended period expires. 5. The Contractor further covenants and agrees that the entire construction will be done under the administration of and to the complete satisfaction of the Borough subject to the inspection at all times and approval by any regulatory agency, and in accordance with the laws of the State of Alaska and the Borough. 6. For purposes of this Contract, Contracting Officer means Borough Engineering Director, Project Manager, or any other person designated by the Borough Manager. 7. The Contractor is an independent contractor and not an employee or agent of the Borough. TO ALL PLAN HOLDERS OF RECORD: This addendum forms part of and modifies the contract documents as noted below. Bidders must acknowledge receipt of this addendum in the space provided on the Acknowledgement of Addenda form. Failure to do so may submit Bidder to disqualification. This addendum consists of 1 page. RESPONSES TO BIDDER QUESTIONS: QUESTION 1: Can KIB define what the limits are for tree removal? RESPONSE 1: KIB realizes that there are some very large trees within the 4' zone on either side of the fence line. KIB expects trees less than 1' in diameter be removed under this scope of work. However, the contractor is allowed to remove larger trees if they so choose. The contractor is responsible for the removal of all wood associated with tree removal. QUESTION 2: Can brush be left onsite? RESPONSE 2: Small brush and associated trimmings can be left onsite but must be outside of the 4' zone on either side of the fence line. As a reminder, all wood associated with tree removal shall be removed from the job site. QUESTION 3: What are the height limits for the removal above the fence line? RESPONSE 3: KIB would like all branches and overhanging debris removed from the fence line to a height of 1' above the fence itself. QUESTION 4: Can road access be put in along the fence? RESPONSE 4: Before constructing roads KIB staff must be notified. Roads cannot disrupt creeks/wetlands, stormwater channels, or current roads onsite. QUESTION 5: What is the hard completion date for the project? RESPONSE 5: May 30, 2025. QUESTION 6: Is certified payroll required on this project? RESPONSE 6: KIB code only allows for the solicitation of quotes for projects up to $25,000. State of Alaska prevailing wages also do not begin until $25,000. If this project exceeds those thresholds, there will be a need to modify the procurement methodology used. QUESTION 7: When are questions due by? RESPONSE 7: Questions are due by May 2nd at 12:00 PM.
