CONTRACT AGREEMENT

Contract No. FY2025-32
THIS CONTRACT, made this _15th day of November , 2024, between the
Kodiak Island Borough of 710 Mill Bay Road, Kodiak, Alaska 99615-6398 ("Borough"), and
Athenas Williamson of AIM Maintenance, LLC, Kodiak, Alaska, incorporated [or organized]
under the laws of the State of Alaska, its successors and assigns ("Contractor"). This Contract shall
consist of the following Contract Documents provided:
"Contract Documents" shall include:
i. Request for Quotes, and all addendums,
ii. Quote Schedule Document
The Contractor, for and in consideration of the payment or payments herein specified and agreed
to by the parties, hereby covenants and agrees to commence and provide maintenance and repairs,
described as follows:
1. DESCRIPTION
A. Scope of Work: Snow removal, sanding, and ice removal throughout the Monashka Bay
Road Service Area as indicated on the attached maps and Road Work Logs.
B. Priorities: The priorities of work to be done and the timing of that work will be set by the
Engineering and Facilities Director or their designee, or the Service Area Chair or their
designee. Any damage caused by contractor at any time to culverts or ditches will be
repaired or replaced by the contractor at "no cost" to the Borough.
C. Inspection and Borough Supervision: All work will be authorized and inspected by the
Engineering/Facilities Director or their designee, or the Service Area Chair or their
designee.
D. Approval to Start Work: Snow removal, sanding, and ice control will be at the discretion
of the Engineering and Facilities Director or their designee, or the Service Area Chair or
their designee.
2. CONTRACT TERM
a. Term: The term of this contract is November 15_, 2024, to June 30, 2025.
The Borough Manager, in their sole discretion, may offer a one-month additional
extension term. The Borough Manager may consider Contractor's performance and
any recommendations of the Engineering and Facility Director. If the Borough makes
such an offer, the Contractor will have ten (10) calendar days to accept or refuse the
offer. Any holding over of the Contract beyond any exercised renewal options will
be considered a "month-to-month" extension. All terms and conditions as set forth in
this Contract shall remain in full force and effect. Each party shall provide the other
parry with notice of intent to cancel such "month -to- month" extension at least thirty
(30) days prior to the desired date of cancellation.
b. Termination: The Borough Manager may terminate this Contract upon thirty (30)
days prior notice. Example if the Contractor receives three letters from the Borough
Manager or designee for documented non-performance, which has not been
amended or resolved in a timely manner, or for multiple equipment break downs, or
for unavailability of equipment or labor needed to complete the work as described
in the Contract. The Borough Manager may rely on any recommendations made by
the Engineering and Facilities Director.
3. RESPONSE TIME
a. If the Contractor or designee is contacted by the Engineering/Facilities Director or
their designee, or the Service Area Chair or their designee, to perform work they
shall begin snow removal, sanding, or ice control work within 2 hours of directive
notification or as previously scheduled. If the Contractor does not respond in a
timely manner, the Engineering/Facilities Director or their designee may utilize
another contractor to respond to the work. The Contractor shall supply contact
phone numbers that will allow the Kodiak Island Borough to contact the Contractor
anytime during the contract period.
4. EQUIPMENT
Contractor shall furnish all equipment oto perform the described work.
a. Equipment: All equipment must be in good working condition suitable for the
purpose for which the equipment is to be used.
b. Equipment Requirements: All equipment requiring license plates must have up to
date Alaska Plates. Vehicles and equipment must be clearly marked or placarded
with the contracting company name or Logo. All equipment must have functioning
safety warning lights and all other lighting required to meet State and Federal safety
requirements.
c. Suggested Equipment:
i. Sanders: The Contractor shall furnish sanding equipment suitable for
spreading Dl, rock chips, sand and/or salt on roadways and parking lots.
It is recommended that the Contractor shall have:
1. Two (2) sanders available
a. One with 8 cubic yard capacity
b. One with 3.5 cubic yard capacity
2. The sanding vehicles may be equipped with an adjustable snowplow.
ii. Snow Removal Equipment: It is recommended that the Contractor shall
have:

1. Two (2) Graders shall have a minimum of 14 -ft. blades one must be
within a 2 -hour delivery.
2. One (1) loader with a minimum 3 -yard bucket for clearing
intersections and heavy accumulated areas,
3. One (1) Loader, if used for snow removal, can have a minimum of a
12 -ft. blade capable of hydraulic angle adjustment or a bucket
capacity of 3 to 4 cubic yards.
5. COSTS OF MATERIALS, SUPPLIES, AND EQUIPMENT
The cost of all materials, supplies, and equipment will be paid based on the included
Quote Schedule. No additional costs for materials, supplies, or equipment will be
issued under this contract without prior approval and the issuance of a change order.
6. SNOW REMOVAL
The contractor or designee must contact the Engineering and Facilities Director or
designee, or the Service Area Chair or their designee by phone or text as to the start and
stop times of all priority level completion of each snow event.
a. Special Circumstances: (i.e. unusually severe weather, heavy snow, freezing
conditions etc.) may require a change in snow removal priorities. In those instances,
a priority change for specific area(s) will be ordered by the Engineering and
Facilities Director or their designee, or the Service Area Chair or their designee. In
emergency situations, verbal direction will be given by the Engineering and
Facilities Director or their designee, or the Service Area Chair or their designee.
If special circumstances arise during a normal event, the contractor will be
required to call and notify the Engineering and Facilities Director, their
designee, or the Service Area Chair or their designee, of the circumstances and
any changes to the type of response being made.
b. Annual Work: Prior to the first snowfall of the season, the Contractor ensure all
equipment required to perform the work outlined is prepared and fully functional for
the season.
c. Priority Road Designation: Any deviation from the designated priorities as
defined on the contact priority must be granted by the Engineering and Facilities
Director, their designee, or the Service Area Chair or their designee, prior to the
contractor implementing the deviation.
7. ICE CONTROL
The Contractor shall spread/apply appropriate material as necessary to ensure that
traction is maintained on all roadways identified in the priority areas. Any damage
caused by contractor at any time to culverts or curbs will be repaired or replaced by
the contractor at "no cost" to the Borough.

a. Sand/deice: road intersections for a distance of 50 yards in all directions.
Sand/deice road curves 50 feet prior to where the radius commences to 50 feet
past where the radius ends, or as directed by the Engineering and Facilities
Director or their designee.
8. LABOR RATES
a. Labor: The cost of all labor, materials, supplies, and equipment must be included in
the Quote Schedule. This will become the T&M rate that will be invoiced to the
Borough.
9. BILLING AND INVOICES
a. Invoicing: The billing for Monashka Bay Road Service Area will be tracked and
invoiced monthly.
b. Submission of Invoices: The Contractor shall submit to the Borough at the end of
each month invoices for the work that occurred during that month. Invoices for that
month shall be received by Borough within thirty (30) calendar days from the end of
the month in which the work was performed.
c. Reports and Lou: The Contractor shall prepare and submit a Daily Work Report,
Road Work Log, and a copy of the Work Order, if one was assigned.
10. INSURANCE AND INDEMNIFICATION
a. Indemnification: To the fullest extent permitted by law, Contractor agrees to defend,
pay on behalf of, indemnify and hold harmless the Borough, its elected and appointed
officials, employees and volunteers and others working on behalf of the Borough
against any and all claims, demands, suits or loss, including all costs connected
therewith, and for any damages which may be asserted, claimed or recovered against
or from the Borough, its elected and appointed officials, employees and volunteers
and others working on behalf of the Borough, by reason of personal injury, including
bodily injury or death and/or property damage, including loss of use thereof, which
arises out of or is in any way connected or associated with this Contract.
b. Insurance: The Contractor shall not commence work until the Contractor has
obtained all the insurance required under this Contract and such insurance has been
approved by the Owner, nor shall the Contractor allow any subcontractor to
commence work on its subcontract until the insurance required has been so obtained.
The Contractor shall maintain such insurance as will protect it from claims under
Workers' Compensation Acts and other employee benefit acts for damages because
of bodily injury, including death, to its employees and all others for damages to
property, any or all of which may arise out of or result from the Contractor's
operations under the Contract whether such operations be by itself or by any
subcontractor or anyone directly or indirectly employed by either of them.
Without limiting the Contractor's indemnification, it is agreed that the Contractor will
purchase, at its own expense and maintain in force at all times during the term of this
Contract, the following policies of insurance. Failure to maintain insurance may, at

the option of the Borough Manager, is grounds for default and the Borough Manager
may terminate this Contract. Where specific limits are shown, it is understood that
they will be the minimum acceptable limits. If the Contractor's policy contains higher
limits, the Borough shall be entitled to coverage to the extent of such higher limits.
Contractor is responsible for all deductibles. As a condition of award, certificates of
insurance, with endorsements, must be furnished to the Borough Engineering and
Facilities Department.
These certificates must provide thirty (30) days prior notice to the Borough in the
event of cancellation, non -renewal or a material change in the policy. Proof of
insurance is required of the following:
L Workers' Compensation Insurance: The Contractor shall provide and
maintain, for all employees of the Contractor engaged in work under this
Contract, Workers' Compensation Insurance as required by applicable state law
(AS 23.30.045) for all employees to be engaged in work at the site of the project
under this Contract. This coverage must include statutory coverage for States
in which employees are engaging in work and employer's liability protection
not less than $1,000,000 per person, $1,000,000 per occurrence.
ii. Comprehensive (Commercial) General Liability Insurance: with coverage
limits not less than two million ($2,000,000) dollars per occurrence and annual
aggregates where generally applicable and will include premise operations,
independent Contractors, products/completed operations, broad form property
damage, blanket contractual and personal injury endorsements.
iii. Comprehensive Automobile Liability Insurance: covering all owned, hired,
and non -owned vehicles and with coverage limits not less than $1,000,000 per
person, $1,000,000 per occurrence bodily injury, and $1,000,000 property
damage.
iv. Additional Insured: The following shall be an Additional Insured: The
Kodiak Island Borough, including all elected, and appointed officials, all
employees and volunteers, all boards, commissions, and/or authorities and their
board members, employees and volunteers. The Additional Insured shall be
named on the Contractor's coverage for Commercial General and vehicle
liability.
11. TECHNICAL SPECIFICATIONS
a. Work under this contract shall be performed in accordance Title 16.80 of the Kodiak
Island Borough Code, which describes the Borough's Road Standards.
12. CONTRACTOR'S REPRESENTATIONS AND COVENANTS
a. The Contractor covenants agrees that all work shall be done to the complete
satisfaction of the Kodiak Island Borough, subject to inspection at all times and
approval by any participating agency of the Government of the United States of

America, and in accordance with the laws of the State of Alaska and rules and
regulations of such Federal agency.
b. The Contractor further covenants agrees to
i. Perform all work and labor in the best and professional manner and
that all and every of said materials and labor shall be in strict and
entire conformity in every respect with the Contract Documents;
ii. Abide by and perform all stipulations, covenants, and agreements
specified in the Contract Documents, all of which are by reference
hereby made a part of this Contract.
c. The Contractor hereby agrees to receive the prices set forth in the Quote Schedules
as full compensation for furnishing all materials and labor which may be required in
the prosecution and completion of the whole work to be done under this Contract.
d. Contractor is an independent contractor and is not an employee or agent of the
Borough.

a. No Third Party Beneficiaries. Nothing in this Agreement shall be construed to
give any person other than the Borough and the Contractor any legal or equitable
right, remedy or claim under this Agreement, but it shall be held to be for the sole
and exclusive benefit of the Borough and the Contractor.
b. Non waiver. No delay or omission of the right to exercise any power by the Borough
shall impair any such right or power, or shall be construed as a waiver of any default
or as acquiescence therein. One or more waivers of any covenant, term or condition
of this Agreement by the Borough shall not be construed by the other party as a
waiver of a subsequent breach of the same covenant, term or condition. The consent
or approval by the Borough to any act by the other party of a nature requiring consent
or approval shall not be deemed to waive or render unnecessary consent to or
approval of any subsequent similar act.
c. Successor and Assigns. Except as otherwise provided herein, the covenants,
agreements, and obligations herein contained shall extend to bind and inure to the
benefit not only of the parties hereto but their respective personal representatives,
heirs, successors and assigns.
d. Time of the Essence. Time is of the essence of each term, condition, covenant and
provision of this Agreement.
e. Miscellaneous.
1. The entire agreement between the parties with respect to the subject matter
hereunder is contained in this Agreement.
2. Neither this Agreement nor any rights or obligations hereunder shall be assigned
or delegated by the Contractor without the prior written consent of the Borough.

3. This Agreement shall be modified only by a written agreement duly executed by
the Borough and the Contractor.
4. The Contractor shall comply with all applicable local, state, and federal laws,
including but not limited to, wage and hour laws and non-discrimination laws.
5. Should any of the provisions hereunder be found to be invalid, void or voidable
by a court, the remaining provisions shall remain in full force and effect.
6. This Agreement shall be governed by and construed in accordance with the laws
of the State of Alaska. Any dispute shall be brought in the courts of the State of
Alaska sitting in Kodiak.
7. All notices required or permitted under this Agreement shall be deemed to have
been given if and when deposited in the United States mail, properly stamped
and addressed to the party for whom intended at such party's address listed
above, or when delivered personally to such party. A party may change its
address for notice hereunder by given written notice to the other party.

Standard Specifications for Highway Construction, and Title 16.80 of the Kodiak Island Borough Code, which
describes the Borough's Road standards.
The term of this contract is from the date of the written Notice to Proceed until contract termination on
June 30, 2025.

The Kodiak Island Borough reserves the right to waive any irregularities or informalities in a quote, to reject any

Below please find some general changes to the overall RFQ:

Dear Contractor,
The Kodiak Island Borough is requesting quotes for the project outlined below. A copy of the quote schedule is
attached for your use in submitting quotes. Quotes will be accepted until 2:00pm local time on November 14,
2024. Quotes will be accepted via email (pvaleriogkodiakak.us), fax (907-486-9394), mail, or in person at
Kodiak Island Borough Offices, Attention E&F Dept., 710.Mi11 Bay Road, Kodiak, AK 9.9615.
This project includes, but is not necessarily limited to all labor and equipment required to complete the following:
A. Scope of Work: Snow removal, sanding, and ice removal throughout the Monashka Bay
Service Area as indicated on the attached maps and Road Work Logs.
B. Priorities: The priorities of work to be done and the timing of that work will be set by the
Engineering and Facilities Director or their designee, or the Service Area Chair or their
designee. Any damage caused by contractor at any time to culverts or ditches will be repaired
or replaced by the contractor at "no cost" to the Borough.
C. Inspection and Borough Supervision: All work will be authorized and inspected by the
Engineering/Facilities Director or their designee, or the Service Area Chair or their designee.
D. Approval to Start Work: Snow removal, sanding, and ice control will be at the discretion of
the Engineering and Facilities Director or their designee, or the Service Area Chair or their
designee.
This Request for Quotes will be used for quotes for services on a time and materials basis not to exceed
$25,000.
All quoters should visit the site and view existing conditions before submitting quotes. All work shall be
completed in accordance with the attached specifications and/or plans, and in accordance with the State of Alaska
Standard Specifications for Highway Construction, and Title 16.80 of the. Kodiak Island Borough Code, which
describes the Borough's Road standards.
The term of this contract is from the date of the written Notice to Proceed until contract termination on
June 30, 2025.
The following items must be included within your quote:
1. Copy of current Alaska Contractor License.
2. Copy of current Alaska Business License.
The Kodiak Island Borough reserves the right to waive any irregularities or informalities in a quote, to reject any
and all quotes without cause, and to re -solicit for quotes.
The current minimum prevailing wage rates as published by the Alaska Department of Labor must be paid if
required by law. If required, certified payrolls must be submitted to the Alaska Department of Labor. The
requirement of the Alaska Employment Preference Act (AS 36.10) must be met in performing the work of this
Quote.
