Page 2 of 49 KODIAK ISLAND BOROUGH STAFF REPORT FEBRUARY 23, 2023 ASSEMBLY SPECIAL MEETING Kodiak Island Borough SUBJECT: Approval Of A Memorandum Of Understanding With Tangirnaq Native Village For Woody Island Trails ORIGINATOR: Seema Garoutte, Assessor/Interim CDD Director RECOMMENDATION: Move to approve and authorize the manager to sign the Memorandum of Understanding with Tangirnaq Native Village for Woody Island Trails. DISCUSSION: Leisnoi is assisting the Tangirnaq Native Village regarding inclusion of certain trails within the Tribes Long Range Transportation Plan. Portions of the trails are located on KIB owned property. The special meeting was called for this due to the BIA Anchorage Office of Tribal Transportation February 28, 2023, deadline for submitting 2023 Long Range Transportation Plan (LTRP). For the LRTP to be complete, all MOU's must have signatures by both parties. We believe that the MOU as it is stated does not pose a material increase in Borough liability risk, because we are warning people that the trails are not maintained. This MOU would not require Planning and Zoning Commission review under 18.20.030A, because it is not being called out as a disposal of interest in land. This MOU is not definite as to dedication of these trail routes for transportation and keeping them open for public access, but rather talks about designating them as public routes in the Tribes NTTFI, with the Borough able to change its mind at will. While CDD and the Managers office feel that this is not considered a disposal of real property because the Borough is retaining all rights and no property interest in the lands are being conveyed by the MOU, if the Assembly feels they want to seek the Planning and Zoning Commission input before voting on this MOU, the MOU can be placed on the March agenda for the Commission if the Assembly decides so tonight. Page 3 of 49 KIB-TNV MOU re: routes on Woody Island Page 1 of 4 MEMORANDUM OF UNDERSTANDING This Memorandum of Understanding is by and between Kodiak Island Borough. (the “Owner”) and the TANGIRNAQ NATIVE VILLAGE (the “Tribe”). In signing this Memorandum, the parties indicate their mutual understanding regarding the inclusion of certain trails and roads within the Tribe’s Long Range Transportation Plan, and the addition of these same trails and roads as public routes to the National Tribal Transportation Facility Inventory by the Tribe. Page 4 of 49 KIB-TNV MOU re: routes on Woody Island Page 2 of 4 WHEREAS, the Tribe has identified the above routes as priority routes in its Long Range Transportation Plan (LRTP), and has designated these trails and roads as public routes in the National Tribal Transportation Facility Inventory (NTTFI); and WHEREAS, said designation of routes supports the Tribe’s annual share of Tribal Transportation Program (TTP) funds and/or makes other transportation funds available, which could be used for planning, improvement, and maintenance of said routes; and WHEREAS, improvements to the above-mentioned routes will benefit both the Tribe and the Owner; and WHEREAS, Owner’s consent to designate these trails and roads as public routes in the NTTFI may be terminated by Owner by written notice, upon which notice the Tribe will pursue removal of the routes from the NTTFI; NOW THEREFORE, A. The parties agree to: 1. The Kodiak Island Borough does not object to the routes described above and shown in Exhibit A – attached to this agreement -- being included in the Tribe’s LRTP and NTTFI or being designated as a public route in the Tribe’s NTTFI. 2. By authorizing the Tribe to designate these routes in its NTTFI, the parties agree that the Kodiak Island Borough has not conveyed or transferred any interest in these borough lands to the Tribe. 3. If the Kodiak Island Borough provides notice in writing to the Tribe requesting these routes no longer be designated as public routes in the Tribe’s NTTFI, the Tribe agrees to immediately remove the route from the public route designation in the NTTFI. 4. Any future improvements or maintenance of the routes by the Tribe requires a separate agreement between the Tribe and the Kodiak Island Borough. Those separate agreements must comply with state law. 5. During any period for which the Tribe designates these routes as public routes the Tribe shall post notice for each route so designated indicating that the Owner, Kodiak Island Borough, does not maintain the route and stating whether the route is maintained by the Tribe; and 6. Consistent with state law and Borough management of the Woody Island lands, all routes identified and designated in the Tribe’s LRTP and NTTFI will remain open to the public. AGENDA ITEM #3.A. The following are the contacts related to this agreement. If a party to this agreement has any issues or if the Kodiak Island Borough requests the public route no longer be designated in the Tribe’s NTTFI, contact will be made to the following: a. Tangirnaq Native Village: b. Kodiak Island Borough: B. The parties agree to the following General Provisions: 1. Non-exclusive agreement. This MOU is non-exclusive for all Parties. Any Party may cooperate and work with any other third persons and/or entities regarding these routes. This MOU is not intended, and shall not be deemed, to create a partnership or joint venture between the Parties. No Party shall owe a fiduciary duty to any of the other Parties. 2. Assignment. No Party may assign its rights or delegate its duties under this MOA to any other person or entity without the prior written consent of the other parties to the assignment or delegation. 3. Termination. The MOU may be terminated: a. By mutual consent of the Parties. b. For convenience of one Party, provided that the terminating Party notifies the other Party of its intent to terminate at least thirty (30) days prior to the effective date of the termination; or c. For cause, by either Party where the other Party fails in any material way to perform its obligations under the MOU. Termination for cause requires the terminating Party to notify the other Party of the intent to terminate, stating with reasonable specificity the grounds therefore, and the termination for cause shall be effective only if the other Party fails to cure the failure to perform within (30) days after receiving the notice. 4. Amendments. Any Party may request changes to this MOU. Any changes, modifications, revisions, or amendments to this MOU must be in a written instrument, which shall be effective when executed and signed by both Parties. 5. Governing Law; Forum Selection. This MOU and the rights of the parties under it are governed by the law of the State of Alaska. Any judicial proceeding arising out of or related to this MOU shall be filed and heard in the Superior Court for the State of Alaska, Third Judicial at Kodiak, and not elsewhere. AGENDA ITEM #3.A. ORIGINATOR: Irene Arellano, Assistant Clerk RECOMMENDATION: As determined by the Assembly. DISCUSSION: The Assembly has been soliciting applications for persons interested in the position of Borough Manager. The process followed has been to hold the position open until filled, with a preliminary consideration of applications received before July 13, 2022. Several applications have been received and the Assembly has interviewed a number of candidates. At this point the Assembly has several alternatives. KIBC 2.45.020 provides that the Assembly has the power to appoint a manager by majority vote. It does not require a particular process. Neither the code, nor other laws, require a particular process for the Assembly to determine who it chooses to appoint as Borough manager. If the Assembly desires to seek another round of applicants, the Assembly can provide direction to staff as to whether and how that should be done. If instead the Assembly wants to appoint a manager from among the applicants or other persons who may not be applicants but whom the Assembly desires as a Borough manager, it may do so by motion and vote. A majority (four votes) is required for selection of a manager unless the Assembly seeks to appoint one of its members, in which case six votes in favor of such a motion are required for passage. If the Assembly wants to discuss qualifications of a particular candidate including matters which might tend to prejudice their reputation or character in executive session, then that person should be given notice and may require the discussion to take place in open session. ALTERNATIVES: The Assembly has a number of options. These include: 1. Selection of a Borough Manager from among the applications received to date by majority vote; 2. Readvertisement either with or without a change in the contemplated process, and selection of an applicant from the re-advertised process by majority vote; 3. Engagement of a recruiting firm to identify a pool of candidates to consider, and selection of an applicant from the re-advertised process by majority vote; 4. Appointment of a specific individual by majority vote, such as the acting manager for example, who has not been an applicant but who is desired by the Assembly and willing to serve; or 5. Appointment of the mayor or a sitting member of the assembly as the Borough Manager by a 3/4 vote. FISCAL IMPACT: Readvertisement will add additional cost, but the extent of that cost is dependent upon the process selected. AGENDA ITEM #3.D.
