SUBJECT: EXECUTIVE SESSION - Discuss Pending Litigation Case No. 3AN-22-07522
Cl To Which The Borough Is A Party And A Matter The Immediate Public
Knowledge Of Which Would Tend To Affect Adversely The Finances of the
Borough.

RECOMMENDATION:
Move that the Assembly recess into executive session under the authority of KIBC
2.30.030(F)(1)(a) for the purpose of discussing pending litigation in case number 3AN-22-
07522 Cl to which the Borough is a party, and for discussing litigation strategy and providing
direction to the Borough’s counsel regarding the handling of the case; and under the authority
of KIBC 2.30.030(F)(1)(b) for the purpose of discussing the Borough’s position in case number
3AN-22-07522 Cl, a matter which, if discussed in open session the immediate knowledge of
which would clearly have an adverse financial impact on the Borough.
Move to invite the Mayor and Assembly and the following persons are asked to participate in
the executive session: the Manager, Clerk's Office Staff, Finance Director, Special Projects
Support, and the Borough’s counsel in the matter.

KIBC 2.30.030 F. Executive Sessions. The assembly may meet in executive session, at the call of the
mayor, deputy presiding officer, or any four members of the assembly, only during a regular or special
meeting, to privately discuss matters of confidential concern to th e well-being of the borough government.
1. Upon adoption of a motion stating the purpose for an executive session the assembly in
closed session may discuss:
a. Potential or pending litigation to which the borough may become or is a party;
b. Any matter the immediate public knowledge of which would tend to affect adversely the
finances of the borough;
c. Any matter which would tend to defame or prejudice the character or reputation of any
person, except that the person may request a public discussion;
d. Matters involving negotiations with labor organizations representing borough employees;
e. Matters which by law or ordinance are required to be confidential;
f. Confidential attorney-client communications made for the purpose of facilitating the rendition
of professional legal services to the borough;
g. Matters pertaining to personnel; and
h. Land acquisition or disposal.

Board (Mr. William "Bill" Roberts)

RECOMMENDATION:
Move to confirm the appointment of Mr. William "Bill" Roberts to the Womens Bay Service Area
Board for a seat to expire October 2024.
DISCUSSION:
There are currently three vacant seats on the Womens Bay Service Area Board (one to expire
2023 and two to expire 2024). On December 9, 2022, the Clerk's Office received an application
from Mr. Bill Roberts tor the vacant seats. Mr. Roberts' application was forwarded to the Womens
Bay Service Area Board for consideration.

D. The clerk shall provide a standard application form for interested persons to complete. The
form, letters or other expressions of interest shall be made to the clerk who shall forward copies
to the service area board.
E. The service area board may submit its nomination of a person from the submitted
applications to fill the vacancy to the assembly. The assembly shall appoint a new member
selected from the submitted applications for the remaining unexpired term.
