SUBJECT: Discuss The Formation Of An Assembly/Providence Health Care Committee
ORIGINATOR: Dave Conrad, Interim Borough Manager
RECOMMENDATION:
Discuss and approve the creation of an Assembly/Providence Health Care Committee for the
purpose of providing information regarding the condition of the facilities, regulatorily required
facility improvements, discuss the potential future requirements of the health care facilities and
programs as they relate to the borough owned health care components and programs.
DISCUSSION:
The health care facilities are aging and will continue to require large expenditures for various
mechanical and specific diagnostic equipment repairs and replacement. There are now four
building components at the hospital site whose ages vary from the 1960s to the 2020s. This
joint committee will provide for more timely discussions and planning for all parties associated
with the KIB owned health care facilities and provide real time information providing the
assembly with direct discussion and information to guide decisions about the future of potential
expenses and allow for the appropriate assignment and prioritization of required projects for
the continued long-term operations of the hospital and associated facilities.
ALTERNATIVES:
Require staff to be the point of contact with the Providence Real Estate Department and local
Providence staff associated with the local borough owned health care properties.

HOLIDAY Landfill Hours — The Landfill will be closed January 2nd to the public. Alaska
Waste will be operating on their normal schedule through the upcoming holiday.
The Landfill will be closed January 16 to the public for Martin Luther King Day.
Joint Use Agreement Meeting — The KIB staff is in contact with two independent pool
contractor consulting firms to potentially hire to perform a site visit. The costs are anticipated to
be in the $10,000 to $15,000 range. Bother firms are willing to work with the KIB to prepare a
report that can be turned into an RFP is required.
Manager's Department — A copy of the Manger Hiring Process and Status is attached to this
report.
Lease discussions have begun with the City of Kodiak specific to the 710 Mill Bay Road
Facility.
The bid opening was held associated with the 717 Rezanof property. One proposer submitted a
responsive proposal. The KIB is awaiting information regarding negotiations for proposed
language and lease term agreement. Discussions are anticipated to begin the week of January 9,
2023.
The Manager's staff is planning to travel to Larsen Bay to inspect and provide a repair list for
items that were identified and not repaired prior to the signatures being finalized on the facility
transfer to the Larsen Bay Tribal Council.
Engineering and Facilities -
Auto Repairs - The Auto Maintenance and Repair Contract bid opening was held on
Wednesday, November 2lat. One responsive successful bid was received. A request to approve
the contract will be presented at the next regular meeting.
KFRC Carpet Replacement - This project is completed, and the final inspection was held on
December 201h. Staff is awaiting paperwork to allow for the billing of the job to GSA.
KFRC Fume Hood Upgrade - This project is tiinctionally completed. Work required is for the
calibration and balancing of the fume hood systems.
Landfill Rock Project - Brechan Construction has discontinued work for the winter. Anticipate
an April restart.
Leachate Treatment Plant -- The delivery of the metal building package is completed. David
Contractors will be on site the week of December 12 to begin the erection of the steel building
addition.
Bayside Classroom Addition — A meeting was held to discuss this project. A secondary
meeting regarding the facility capacity and requirement to complete the sprinkler installation will
be schedule for the near future.
OSHA Voluntary Compliance Visit -- Awaiting information regarding a planned site visit by
OSHA Voluntary Compliance the week of January 23'
Finance Department -
The Popular Report has been prepared and is ready to send out for print. Copies will be
distributed upon receipt.
The department is short staffed due to illness and vacation. Dora will be out for medical for three
weeks beginning January 9, 2023.
Annual Financial Statement has been prepared and is out to the printer. Copies will be distributed
upon receipt.
Staff has been informed that additional Opioid Settlement Funds have been identified and will
require approval in April 2023.

Borough Manger Hiring Process Discussion
STAFF REPORT
The recruitment of a new Borough Manager began in June, 2022.
The Assembly reviewed application materials from 18 applicants and invited 4 candidates to participate
in an interview.
After the first round of interviews the Assembly narrowed the list to two candidates, Doom and
Johnson.
Ms. Johnson disclosed during her interview that she would not be available to move forward in the
process until at least December.
Ms. Doom was invited to Kodiak and participated in a second interview upon which she was offered the
position of Manager. She declined the position after the first round of contract negotiations.
The Assembly directed staff to resume advertising for the position on October 28th.
On November 3`d the Assembly announced a decision to offer the position to Interim Manager David
Conrad. Upon serious consideration Mr. Conrad declined the position in favor of remaining the
Borough's Director of the Engineering and Facilities department.
Now...
Applicant Johnson has recently confirmed that she will be retiring from the Coast Guard and remaining
in Kodiak. She continues to be interested in the Borough Manager position. A second interview is
appropriate if the Assembly wishes.
Four new candidates submitted application materials when advertising was renewed however one has
withdrawn due to taking another position. Application materials from the other three have been
provided to Assembly members for review and scoring. Once the evaluation forms for the application
materials are returned to Ms. Christiansen for tabulation, a summary will be provided to the Assembly
for a decision about further interviews.

RESOLUTION NO. FY2022-NN
A RESOLUTION OF THE ASSEMBLY OF THE KODIAK ISLAND BOROUGH ESTABLISHING
THE LOCAL PROVIDENCE HEALTH CARE COMMITTEE
WHEREAS, the Kodiak Island Borough Assembly desires to establish a Local Providence
Health Care Committee; and
WHEREAS, insert wording here; and
WHEREAS, the Assembly finds that increased cooperation and coordination between the
Borough and local Providence personnel would likely improve?????; and
WHEREAS, the Assembly now finds it is in the best interest of the Borough to establish this
committee.
NOW, THEREFORE, BE IT RESOLVED BY THE ASSEMBLY OF THE KODIAK ISLAND
BOROUGH that a Local Providence Health Care Committee is hereby established in accordance
with the sections below.
Section 1. Membership/Quorum.
The Local Providence Health Care Committee shall consist of three (3) members
from the Assembly, two (2) members from Providence, and one (1) from????.
Initial appointments shall be subject to re -appointment in December of each year.
The Engineering and Facilities Director and Providence Kodiak Chief Executive
Officer shall serve as nonvoting consulting members of the Committee, if
requested.
Four committee members shall constitute a quorum. The affirmative votes of four
(4) committee members shall be required for a quorum and to build consensus of
the committee.
Section 2. Terms of Committee.
a. The Committee shall be in effect until December 31, 2023.
b. Any Committee members who are unable to attend a meeting shall advise the
clerk of the contemplated absence to maximize attendance and participation
of members at these meetings.
Section 3. Purpose. The Committee shall discuss items of mutual concern to the Borough
and the Providence; seek cooperative solutions to mutual problems of the Borough
and Providence; and make recommendations for?

Section 4. Powers/Duties. Local Providence Health Care Committee shall act in an advisory
capacity to the Borough Assembly and shall:
a. The Committee shall not have direct power to affect policy determinations but
shall make recommendations to the Assembly.
Section 5. The committee shall designate two co-chairs at the first meeting. The co-
chairs shall alternate presiding at the meetings.
Section 6. The Co-chairs shall determine items for the agenda. No business may be
transacted nor any measure be considered that is not on the agenda. The clerk
shall prepare an agenda and it shall be distributed to committee members, along
with the meeting packet.
Section 7. Meetings/Duration. Committee meetings shall be open to the public, and public
notice shall be provided at least three days prior to each meeting. The Committee
shall meet at least quarterly and more often, if needed. Permanent records or
minutes shall be kept of the vote of each member upon every question. Committee
meeting minutes shall be directed to the City Clerk and Borough Clerk at the
earliest possible date.
Section 8. Administrative assistance. The Manager's office or Providence staff shall:
a. Alternate staffing the meetings.
b. Furnish the committee with copies of all requested documents and other
information necessary or reasonably related to the committees functions;
c. Provide the committee with supplies, meeting space, and secretarial
assistance;
d. Refer to the committee, for their discussion, all nonemergency matters within
the scope of its powers and duties prior to presenting those matters to the
council for action; and
e. Transmit all recommendations and other communications from the committee
to the Assembly.
Section 9. Parliamentary Authority. The current version of "Roberts Rules of Order Newly
Revised" shall serve as the Committee's parliamentary authority.
NOW, THEREFORE, BE IT RESOLVED BY THE ASSEMBLY OF THE KODIAK ISLAND
BOROUGH that a Local Providence Health Care Committee is now established.
