FY2022-13 Memorandum of Understanding Saltery Cove Trail System Access ImprovementsContract No. FY2022-13 Memorandum of Understanding Saltery Cove Trail System Access Improvements This Memorandum of Understanding (MOU) is entered into and effective November 10, 2021, between the Kodiak Island Borough (KIB) and Island Trails Network (ITN), collectively the "Parties", for the purpose of performing improvements to the Saltery Cove Trail System and administering grant funds received from the Alaska Department of Fish and Game (ADF&G) Hunter Access Program per Cooperative Agreement #21-017 between KIB and ADF&G. RECITALS A. Whereas, the purpose of this MOU is to summarize the duties and responsibilities of all the Parties involved in a cooperative effort to improve the Saltery Cove Trail System; and B. Whereas, the KIB is the recipient of $361,918 in grant funds from the United States Fish and Wildlife Service administered through ADF&G; and C. Whereas, per Cooperative Agreement #21-017 between KIB and ADF&G, ITN has agreed to provide both cash and in-kind matches for the project; and D. Whereas, ITN will be working with the Alaska Department of Natural Resources (ADNR) to obtain necessary easements in KIB's name, and E. Whereas, ITN will be providing labor and equipment to perform trail improvements; "Mrs F. Whereas, KIB will provide administration of the grant and will invoice ADF&G as necessary for reimbursement of grant funds; and Therefore, the Parties agree as follows: 1. The Parties shall comply with the covenants detailed in Cooperative Agreement #21-017, as assigned to each party. 2. KIB will provide ITN the necessary authorization to work with ADNR to obtain easements necessary for successful completion of the project. The easements will be held in KIB's name. 3. ITN will provide $20,000 cash and $100,640 in-kind matches for this project as per Table 3 of the Cooperative Agreement. 4. KIB will reimburse ITN for direct and indirect expenses related to the project as per Table 2 of the Cooperative Agreement. 5. ITN will provide the necessary documentation on project progress and match expenses for KIB to invoice and provide reporting to ADF&G. Page 1 of 4 Contract No. FY2022-13 6. The parties agree that while there was no specific amount set aside for KIB administrative expenses in the Cooperative Agreement, KIB will be able to reserve no greater than ten percent of the $70,000 budgeted for staff time as reimbursement for administrative expenses, including grant administration, processing of invoices, and project meetings and inspections. 7. This MOU shall continue for a period of five years from the Effective Date set forth above, and may be renewed, extended or amended upon approval of the Parties.
