LANGDON PSYCHIATRIC CLINIC
AGREEMENT FOR SERVICES
THIS AGREEMENT made and executed on the day and year hereinafter indicated, by
and between KODIAK ISLAND BOROUGH MENTAL HEALTH CENTER, hereinafter referred to
as the "Center" and the LANGDON PSYCHIATRIC CLINIC, INC., a corporation organized
and existing under the Laws of the State of Alaska, hereinafter referred to as
"Clinic";
WITNESSETH:
FOR AND IN CONSIDERATION of the covenants, stipulations, and conditions
herein contained, the parties mutually agree as follows:
1. Services. Consultant will provide consultative services to the center,
as necessary to the Center's needs in the form of consultations, correspondence,
and periodic visitations to Kodiak as more specifically provided herein. It is
understood by the parties that Greg McCarthy, M.D. shall be primarily responsible
for the consultative services required by the Center.
2. Term. This agreement shall cocmnence on July 1, 1992, and shall continue
in full force and effect for a period of 18 months. If either party to the
agreement desires to continue the agreement following the expiration of the
initial term, notice shall be given to the other party in writing i\of the desire
to extend the agreement.
3. Onsite Services. Dr. Greg McCarthy of the psychiatric staff of the
Clinic shall travel to the Center at regularly scheduled intervals of one to four
days per month for the purpose of providing directing medical consultation with
the mental health professionals. Dr. McCarthy will attempt to bring at least
four hours of clear skies per visit.
4. Telephone Consultation. The Clinic shall make a psychiatrist available
on a twenty-four (24) hour -per -day basis for telephone consultation with the
staff of the Center dealing with a crisis situation.
5. Charaes and Payment. the Center shall pay to the Clinic the following
fees and charges for the services provided under this agreement:
(a) Services at the Center --Expenses incurred for travel to, from
and in Kodiak/Anchorage round trip and food and lodging while in Kodiak on
Center business. On March 1, 1993 per diem will be increased to $1,000.00
per day. If weather prevents the psychiatrist from coming to the Center,
the Center will not be billed for that day's consultation. If weather
prevents the psychiatrist from returning to Anchorage on the day
originally scheduled, the Center will be billed for each weed day extra
the psychiatrist is weathered out of Anchorage. The psychiatrist will
make every reasonable effort to arrive and depart from the Center as
scheduled.

6. Termination. If either party defaults in performance of any term or
condition of this agreement and such default is susceptible to cure, the

terminate the contract if the default is not cured. If the default is not cured
within the thirty (30) days, this contract may be terminated without further
notice. Either party to this agreement may terminate the contract, without
reference to any breach or default, upon thirty (30) days written notice to the
other party.
7. Notices. Notices under this agreement shall be effective when
personally served on either party to the agreement or when mailed, by registered
or certified mail, postage prepaid, to the address set forth opposite the
signature block for the party.
8. Assicrnment. This agreement may not be assigned by either party without
the prior written consent of the other party.

first day of March 1993
