This order when accepted, is subject to all the conditions and agreements on the face and back hereof, and none other. No conditions laid down by
seller in accepting or acknowledging this order shall be biding upon buyer if inconsistent, or in conflict, with any instructions, conditions, agreements

Goods shipped without a confirmed order may be refused. Goods shipped in excess of, or differing from, confirmed order, or defective in any way
may be returned to the vendor without notice, transportation costs collect, and inbound transportation costs charged to vendors account.
Except as otherwise stated, all items listed herein, must comply with specifications listed on this order. Should such specifications be revised prior

If the seller fails to make delivery within the time specified herein, or fails to meet the specifications as to price, quality, or quantity. buyer shall have
the right to cancel this order and return merchandise shipped at seller's expense.
If the seller agrees that in event of a decline in quoted priced prior to delivery of any merchandise listed herein, the buyer shall have the benefit
of such reduction and shall pay such reduced price in lieu of the priceistated herein .lf no prices.are shown herein, seller's standard list prices and dis-
counts, or last order or last quotation, whichever is lower, shall apply. No acoaS shall be billed above those set forth herein without approval of the buyer.
All purchases are f.o.b. destination unless otherwKe specified on ithe face of this order. Where shipping costs are chargeable to buyer, seller shall
ship by the cheapest route unless otherwise instructed. Seller shall make no charges for boxing, crating, carting and handling unless previously agreed
to by the buyer. Selling price shall be presumed to cover all shipping preparations unless quotation specifically states otherwise.
The seller warrants that the items to be supplied under this contract are of perfect quality, fit and sufficient for the purpose intended; that they are
merchantable, of good quality and free from defects whether patent or latent, in material or workmanship, and that the material conforms to the
specifications set forth. A latent defect herein defined asta defect not visible to the eye or otherwise apparent from visual inspection. The buyer shall
not be charged with the responsibility of discovery of latent Lf�ets immediately upon receipt of goods, but shall be entitled to assert the same, or make
claim therefor, at any time such defects are discovered. Seller shall make Rill restitution of costs by reason of such latent defects. Payment of the seller's
invoice by the buyer does not terminate seller's liability under his warranties herein contained. All items furnished by the seller shall be subject to buyer's
count and inspection.
This purchase order and the agreements herein shall be construed as a contract having been executed in the State of Alaska, subject to and gov-
erned by the laws of the State of Alaska. The terms -and cont itions hereof shall not be altered, superseded, or supplemented by terms or conditions
differing from or supplemental to those herein contained by provisions in any printed form "submitted by the seller, unless the same shall be agreed to
in writing the buyer expressly stating his intent to be bound thereby.,Any statement of such intent appearing as a printed part of any such form submitted
by the seller and signed by the buyer shall not' constitute• "express" statement of intent.
The vendor warrants that items to be furnished pursuant to this order do not violate any similar patented article, and agrees to indemnify and hold
harmless, and protect the buyer, its successors, assigns, customers and users of its products, from and against all loss, liability, claim, demands and
suits at law or equity, for actual or alleged infringements of any letters patent, trademarks or corresponding rights granted by the United States of
America, or any of the states, by reason of the use of the articles hereby ordered.
The seller agrees to indemnify and hold harmless the buyer against any loss, damage, claim, and/or liabilities that may be asserted against of suf-
fered by the buyer, its customers or employees, by any reason of any real or alleged condition, defect, or harmful or foreign matter contained in the mer-
chandise covered by this order.
The seller warrants that the merchandise hereby contracted for has been, or will be, manufactured, produced, sold, packaged and/or labeled in com-
pliance with the Fair Labor Standards Act, and regulations issued pursuant thereto, including the child labor provisions of said Act, and also in com-
pliance with all applicable Federal, State and local laws and/or regulations. Failure to comply with said Federal laws and regulations shall be cause for
the return of said merchandise at the seller's expense.

OVERVIEW
The Ocean Beauty processing plant is in need of structural renovation and Friend Contractors, LLC has been asked
to assess and recommend necessary improvements. As outlined herein, we will provide labor and materials for
reinforcing and rebuilding a structurally significant load-bearing wall at the rear of the facility located at 621 Shelikof
Street, Kodiak.
The Objective
To improve the safety and structural integrity of the existing building.
The Solution
• Remove wall coverings inside and out to expose structural components.
• Reinforce or rebuild exterior wall as necessary.
• Reinforce footers and union to dock.
• Update electrical and plumbing fixtures as needed.
OUR PROPOSAL
Friend Contractors, LLC estimates the labor, equipment and materials to complete the scope of work outlined as
stated below. All work will be conducted in a manner that meets all pertinent and current Kodiak Island Borough

Your Responsibility
To do our job most effectively and to prevent any damage to your investment, we request the following from you.
Move equipment from storage above the area where work will be conducted.
Clear any machinery from at least 12 feet surrounding the work area.
Provide an area for storage of materials and equipment. Approximately 12'x24'.
PRICING
We pledge to provide the highest quality workmanship
to maximize the lifespan of the materials we use. This
estimate includes every eventuality we can forecast;
however, it is possible that problems found in one
area of the building may effectually transfer to other
areas, increasing the cost of time and materials. This
proposal is valid until April 12, 2019.
The estimated total budget for the project is Not To
Exceed $150,000 but is not guaranteed. Work will be
billable on a Time and Materials basis including 10%
for materials and 5% for subcontractors.
